CONDITIONS GÉNÉRALES D’UTILISATION DE LA PLACE DE MARCHÉ DES CERTIFICATIONS EN INNOVATION D’ANSYS (Canada)
VEUILLEZ LIRE ATTENTIVEMENT LES PRÉSENTES CONDITIONS GÉNÉRALES D’UTILISATION DE LA PLACE DE MARCHÉ DES CERTIFICATIONS EN INNOVATION D’ANSYS (LE « CONTRAT »), QUI RÉGISSENT VOTRE UTILISATION DU SITE AIC. En utilisant le site AIC, vous (ci-après « vous » ou « votre », selon le cas) acceptez inconditionnellement d’être lié par ce Contrat. En utilisant le site AIC, vous reconnaissez avoir lu, compris et accepté d’être lié par le Contrat. Le Contrat est conclu entre vous et ANSYS inc., dont les bureaux sont situés au 2600 ANSYS Drive, Canonsburg, PA 15317 et ses sociétés affiliées (ci-après « Ansys »).
1.Définitions.
Accès au nuage. Accès aux services infonuagiques que vous pouvez acheter avec une offre. L’accès au nuage est acheté par vous auprès d’Ansys ou d’un partenaire de distribution, selon le cas, et fourni par un fournisseur de services infonuagiques tiers. Si vous achetez l’accès au nuage directement auprès d’Ansys, les conditions relatives au nuage énoncées sur https://www.ansys.com/legal/terms-and-conditions/microsoft-software-license-agreement et toutes conditions supplémentaires fournies par Microsoft s’appliqueront également à votre utilisation de l’accès au nuage. Le Contrat vous permet d’acheter l’accès au nuage dans le cadre d’une offre d’Ansys, mais vous reconnaissez et acceptez expressément que tout accès au nuage que vous achetez auprès d’un partenaire de distribution (le cas échéant) est soumis à des conditions distinctes entre vous, le partenaire de distribution et le fournisseur de services infonuagiques tiers.
Credly. Credly inc., un fournisseur tiers qui émet des badges numériques directement à votre intention, le cas échéant.
Badge. Un certificat électronique qui montre que vous avez terminé et réussi une certification particulière qui vous a été délivrée par Ansys et mise à votre disposition par Credly.
Certification. Certification(s) offerte(s) en relation avec le(s) cours de formation, y compris tous les badges. Si vous achetez une certification, le Contrat de certification énoncé dans l’annexe A s’applique également.
Commande. Vos offres sélectionnées en vue d’un achat par l’intermédiaire du panier électronique mis à votre disposition par Ansys ou un partenaire de distribution, le cas échéant.
Cours de formation. Cours de formation non exclusifs offerts par Ansys ou un partenaire de formation qui visent à fournir des outils/ressources/matériels supplémentaires pour améliorer votre utilisation des programmes. Ces cours sont mis à votre disposition par Ansys sur le site AIC et illustrent comment utiliser le(s) programme(s).
Données. Tout contenu, matériel, données et informations que vous fournissez à Ansys en lien avec le site AIC.
Données personnelles. Tout renseignement relatif à une personne physique déterminée ou identifiable qui est traité conformément au Contrat.
Frais. Les frais que vous devez payer à Ansys ou à un partenaire de distribution, le cas échéant, pour l’accès à une offre ou à un accès au nuage.
Offre. Le ou les cours de formation, la ou les certifications, l’accès au nuage et le ou les badges applicables, ainsi que d’autres contenus mis en vente sur le site AIC ou par l’intermédiaire d’un partenaire de distribution sur le site du partenaire de distribution. L’offre peut inclure une solution groupée (par exemple, un ou des cours de formation, un accès au nuage, des certifications et/ou un ou des badges vendus comme un ensemble groupé) qui est plus particulièrement décrite sur le site AIC ou le site du partenaire de distribution, selon le cas.
Partenaire de distribution. Une entité commerciale non affiliée autorisée par Ansys à revendre l’accès aux offres. Le partenaire ou les partenaires de distribution peuvent fournir des offres et un accès au nuage dans certaines régions.
Partenaire de formation. Un tiers offrant des cours de formation relatifs aux programmes d’Ansys ou à ses propres programmes.
Programmes. Logiciel mis à disposition par Ansys ou par un partenaire de formation, selon le cas. Les programmes sont mis à votre disposition dans le cadre d’un contrat distinct.
Site AIC. Un site Web mis à disposition par Ansys dans le but de fournir l’offre.
Site du partenaire de distribution. Un site Web mis à disposition par un partenaire de distribution qui vous permet d’acheter l’accès à une offre par l’intermédiaire d’un partenaire de distribution.
2. Processus de commande. Vous pouvez accéder à une offre ou au nuage en soumettant une commande et en payant les frais applicables à Ansys ou à un partenaire de distribution, selon le cas. Sous réserve que votre commande soit acceptée, vous recevrez l’accès à une offre et un accès au nuage, selon le cas, dans les vingt-quatre heures suivant l’achat. Si votre commande n’est pas acceptée pour quelque raison que ce soit, vous recevrez un avis d’Ansys ou du partenaire de distribution, si vous avez acheté une offre ou un accès au nuage par l’intermédiaire d’un partenaire de distribution. Votre accès à toute offre et au nuage, le cas échéant, après l’acceptation d’une commande est limité à la durée déterminée sur le site AIC. Après l’expiration de cette période, vous n’aurez plus accès à une offre particulière et à un accès au nuage, le cas échéant. Vous devez avoir un ID utilisateur approprié pour accéder au site AIC. Une fois votre compte créé et votre commande acceptée, vous recevrez un courriel de confirmation. L’offre et/ou l’accès au nuage peuvent ne pas être disponibles : (i) dans certaines régions; et (ii) pour vous si cette disponibilité est contraire aux lois applicables. Dans le cas où une offre ou un accès au nuage n’est pas disponible pour vous, votre commande ne sera pas acceptée.
3. Exigences du site AIC. L’accès au site AIC, à toute offre et au nuage n’est possible que par le biais d’une connexion Internet.
4. Langue anglaise. Tous les cours de formation seront dispensés en ANGLAIS UNIQUEMENT.
5. Soutien et maintenance des programmes Ansys. Vous reconnaissez que l’accès à toute offre n’est pas inclus dans les frais payés pour le soutien et la maintenance de tout programme Ansys.
6.Confidentialité et propriété. Le site AIC et toute offre proposée dans ce cadre (à l’exclusion des badges qui sont fournis par Credly et de tout accès au nuage qui est acheté auprès d’Ansys ou d’un partenaire de distribution, le cas échéant), y compris toute information commerciale, technique et documentation qui se rapporte à ce qui précède, sont la propriété exclusive d’Ansys et de ses partenaires de formation, le cas échéant, et leur sont réservés par la présente. Vous ne recevez qu’une licence limitée d’utilisation du site AIC et de toute offre conformément au Contrat. En aucun cas, le site AIC, en tout ou en partie, toute offre ou documentation (le cas échéant et disponible) de ce qui précède ne peuvent être produits ou copiés sous quelque forme ou par quelque moyen que ce soit ou traduits dans une autre langue sans l’accord écrit préalable d’Ansys. Le site AIC et l’offre (à l’exclusion de tout badge et de l’accès au nuage) sont des informations confidentielles d’Ansys et de ses partenaires de formation et vous acceptez de ne pas divulguer ces informations à un tiers ou d’utiliser ces informations, sauf dans les cas expressément autorisés par les présentes. Vous êtes autorisé à utiliser toute offre (à l’exclusion de tout badge) et le site AIC uniquement à des fins de formation interne. Vous reconnaissez que la distribution de la documentation du site AIC ou de l’offre (le cas échéant et si elle est disponible), ainsi que de toute offre, de tout programme, de tout lien ou de tout mot de passe à toute autre personne constitue une violation du Contrat. Vous ne devez pas désassembler, décompiler, faire de l’ingénierie inverse, copier, traduire ou faire des travaux dérivés du site AIC ou de toute offre.
7.Changements. Ansys se réserve le droit de : (i) modifier toute offre disponible sur le site AIC de temps à autre, et (ii) modifier le contenu de toute offre sans vous en avertir afin de corriger des erreurs. Un cours de formation fourni par un partenaire de formation peut être supprimé par Ansys à la demande du partenaire de formation. Dans la mesure où une offre est retirée du site AIC, Ansys doit : (a) Vous informer en incluant une remarque dans la description de l’offre applicable dix (10) jours avant le retrait de l’offre; et (b) dans le cas où vous avez déjà payé pour une offre qui est ensuite retirée du site AIC avant que vous n’accédiez à cette offre, veuillez contacter Ansys à l’adresse courriel déterminée à la partie 10 ci-dessous pour obtenir le remboursement de votre prix d’achat payé pour cette offre. Si vous avez acheté une offre auprès d’un partenaire de distribution, contactez directement le partenaire de distribution pour demander le remboursement du prix d’achat que vous avez payé pour cette offre.
La clause suivante ne s’applique pas aux résidents du Québec auxquels s’applique la Loi sur la protection du consommateur.
8.Exclusion de garantie. Le site AIC et chaque offre qu’il contient vous sont proposés par Ansys et ses partenaires de formation, le cas échéant, « en l’état » et « en fonction des disponibilités ». L’offre est mise à votre disposition par Ansys pour une durée déterminée, comme précisée plus en détail sur la ou les page(s) du produit pour l’offre. Ansys ne garantit pas l’exactitude ou l’exhaustivité de toute offre, ni des liens ou des informations, textes, graphiques ou autres éléments contenus dans une offre. Ansys et ses partenaires de formation déclinent toute garantie expresse ou implicite, y compris, mais sans s’y limiter, toute garantie implicite de qualité marchande, d’aptitude ou d’adéquation à un usage quelconque (qu’Ansys ou ses partenaires de formation aient ou non des raisons de connaître un tel usage, qu’ils en aient été informés ou qu’ils en aient connaissance de fait) ou d’absence de contrefaçon, qu’elle soit présumée résulter de la loi, des coutumes ou des usages du commerce, ou de la conduite habituelle des affaires.
9. Limitation de responsabilité. DANS TOUTE LA MESURE PERMISE PAR LA LOI, ANSYS ET SES PARTENAIRES DE FORMATION, AINSI QUE LEURS AFFILIÉS, DIRIGEANTS, ADMINISTRATEURS, ACTIONNAIRES, EMPLOYÉS, AGENTS OU CONCÉDANTS DE LICENCE RESPECTIFS, NE SERONT EN AUCUN CAS RESPONSABLES DES DOMMAGES INDIRECTS, ACCESSOIRES, SPÉCIAUX, PUNITIFS, EXEMPLAIRES OU CONSÉCUTIFS (Y COMPRIS, SANS S’Y LIMITER, LES DOMMAGES POUR PERTE DE PROFITS, DE REVENUS, DE CLIENTÈLE, D’UTILISATION OU DE CONTENU), QUELLE QU’EN SOIT LA CAUSE ET QUELLE QUE SOIT LA THÉORIE DE LA RESPONSABILITÉ, Y COMPRIS, SANS S’Y LIMITER, LE CONTRAT, LE DÉLIT CIVIL, LA GARANTIE, LA NÉGLIGENCE OU AUTRE, MÊME SI ANSYS A ÉTÉ INFORMÉE DE LA POSSIBILITÉ DE TELS DOMMAGES. DANS TOUTE LA MESURE PERMISE PAR LA LOI APPLICABLE, LA RESPONSABILITÉ GLOBALE D’ANYS ET DE SES PARTENAIRES EN MATIÈRE DE FORMATION, ET DE LEURS SOCIÉTÉS AFFILIÉES, DIRIGEANTS, ADMINISTRATEURS, ACTIONNAIRES, EMPLOYÉS, AGENTS OU CONCÉDANTS DE LICENCE, RELATIVEMENT À L’OFFRE, SERA LIMITÉE AUX SOMMES RÉELLES PAYÉES PAR VOUS DANS LE CADRE DE L’OFFRE PARTICULIÈRE QUI FAIT L’OBJET DE LA RESPONSABILITÉ ÉNONCÉE. LES LIMITATIONS ET EXCLUSIONS S’APPLIQUENT ÉGALEMENT SI CE RECOURS NE VOUS INDEMNISE PAS PLEINEMENT POUR LES PERTES SUBIES OU S’IL N’ATTEINT PAS SON OBJECTIF ESSENTIEL. CERTAINS TERRITOIRES NE PERMETTENT PAS LA LIMITATION DE CERTAINS TYPES DE DOMMAGES ET, DANS CE CAS, CETTE LIMITATION NE S’APPLIQUERA PAS À VOUS DANS LA MESURE OÙ LA LOI L’INTERDIT. EN CE QUI CONCERNE L’ACCÈS AU NUAGE OBTENU PAR L’INTERMÉDIAIRE D’ANSYS, VOUS ÊTES SEUL RESPONSABLE DE VOTRE UTILISATION DE TOUT ACCÈS AU NUAGE CONFORMÉMENT AUX CONDITIONS DE MICROSOFT.
10. Remboursements. Dans le cas où vous avez acheté une offre et/ou un accès au nuage auprès d’un partenaire de distribution, vous pouvez demander le remboursement d’une offre conformément à la politique de remboursement du partenaire de distribution. Dans le cas où vous avez acheté une offre et/ou un accès au nuage auprès d’Ansys, vous pouvez demander le remboursement d’une offre si vous n’êtes pas satisfait de votre achat pour quelque raison que ce soit et que vous contactez Ansys à l’adresse aic-refunds@ansys.com dans les quatorze (14) jours suivant l’achat (la « période de demande de remboursement ») afin d’obtenir un remboursement intégral. Vous pouvez demander un remboursement pour l’accès au nuage à condition que : (i) votre demande est faite pendant la période de demande de remboursement; et (ii) vous n’avez pas utilisé quelque partie que ce soit de l’accès au nuage acheté, sinon il n’y a pas de remboursement pour l’accès au nuage. Le traitement des remboursements peut prendre jusqu’à (4) jours ouvrables. Si votre remboursement a été approuvé, mais que vous ne l’avez pas reçu après quatre (4) jours ouvrables, vérifiez d’abord votre carte de crédit. Contactez ensuite votre fournisseur de carte de crédit. Un certain délai de traitement est souvent nécessaire avant que le remboursement ne soit comptabilisé. Si vous avez suivi toutes ces étapes et que vous n’avez toujours pas reçu votre remboursement, veuillez nous contacter à l’adresse aic-refunds@ansys.com. Votre accès à une offre sera annulé si vous présentez une demande de remboursement. Ansys ne peut être tenue responsable du défaut de fournir un cours de formation en raison de causes ou de conditions indépendantes de sa volonté.
11. Résiliation. Ansys se réserve par la présente le droit d’annuler votre accès et votre licence d’utilisation de toute offre disponible sur le site AIC en cas de violation du Contrat. Dans ce cas, Ansys vous en informera. Vous devez immédiatement cesser d’utiliser toute offre et supprimer tout support tangible ou électronique de ces informations en votre possession. Dans ce cas, vos identifiants de connexion au site AIC seront révoqués.
12 .Badge. Après avoir obtenu un badge particulier soumis aux critères définis par Ansys et dans la mesure où un badge est proposé dans le cadre d’une offre particulière que vous avez commandée, vous serez invité à créer un compte sur le système Credly, sous réserve de l’acceptation des conditions de service de Credly applicables à cette date. Credly peut communiquer directement avec vous concernant la disponibilité, la gestion et l’utilisation de vos badges.
13. Incessibilité. Votre accès et votre utilisation du site AIC et de toute offre sont incessibles, non exclusifs et non transférables. Vous ne pouvez pas céder ce Contrat ou toute commande à un tiers par application de la loi, ou en cas de faillite, ou de toute autre manière sans le consentement écrit préalable d’Ansys. Vous tiendrez Ansys et ses partenaires de formation indemnes de toute perte, de tout dommage, de toute responsabilité résultant du non-respect de cette disposition.
14. Vos données. Vous acceptez que toutes les données que vous fournissez à Ansys ou à un partenaire de formation par l’intermédiaire du site AIC ou autrement liées soit au site AIC, soit à un cours de formation, puissent être utilisées aux fins suivantes : (i) l’exécution de toute activité de conformité requise en ce qui concerne votre achat de toute offre ou accès au nuage (ii) le traitement du paiement et la fourniture du site AIC et des cours de formation que vous avez achetés (iii) la fourniture d’examens de certification et la délivrance de badges et d’accréditations (iv) l’amélioration des produits (en particulier, les caractéristiques et les fonctionnalités, flux de travaux et interfaces utilisateur pour le site AIC et toute formation et le développement de nouveaux produits et services Ansys) (v) l’amélioration de l’allocation des ressources et du soutien d’Ansys (vi) la planification de la demande interne (vii) la formation et le développement d’algorithmes d’apprentissage automatique (viii) l’identification des tendances et des développements de l’industrie, la création d’indices et l’analyse comparative anonyme.
15. Demandes de fonctionnalités et améliorations des produits. Vous reconnaissez et acceptez que toute interaction avec Ansys ou toute rétroaction que vous lui fournissez, y compris toute donnée, directement ou implicitement, peut être utilisée par Ansys pour améliorer ses produits et services à l’avenir. Ansys sera le seul propriétaire de tous les développements, modifications, améliorations, changements ou nouvelles informations exclusives ou propriété intellectuelle qui sont développés en relation avec tout logiciel Ansys ou services connexes (« améliorations »), y compris, sans limitation, les commentaires ou la rétroaction (« rétroaction ») que vous fournissez à Ansys. Ansys disposera de tous les droits associés à ces améliorations et rétroactions sans qu’il soit nécessaire de vous en référer.
16.Confidentialité des données. Dans la mesure où les données que vous fournissez à Ansys ou à un partenaire de formation par l’intermédiaire du site AIC contiennent des données personnelles, ces données personnelles seront traitées conformément à l’avis de confidentialité d’Ansys (disponible à l’adresse www.ansys.com/privacy). Les sites AIC sont principalement exploités et gérés sur des serveurs situés et exploités aux États-Unis. Par conséquent, en soumettant vos données personnelles à Ansys, vous envoyez vos données personnelles en dehors de votre pays de résidence ou d’établissement, y compris aux États-Unis. Dans la mesure du possible, Ansys veillera à ce que tout transfert de ces données personnelles respecte toutes les lois applicables en matière de protection des renseignements personnels, y compris, dans la mesure du possible, aux restrictions sur les transferts transfrontaliers de données en vertu du règlement général sur la protection des données (règlement (UE) 2016/679). Si votre accès au site AIC et aux offres a été acheté par une entreprise ou une entité éducative, vos informations d’accès et d’utilisation sont accessibles à cette entité. Veuillez noter que, dans le cadre des offres et de l’accès au nuage, si vous achetez une offre et/ou un accès au nuage auprès d’un partenaire de distribution, toutes les données personnelles soumises à ce partenaire de distribution dans le cadre de votre achat seront traitées conformément à la politique de confidentialité du partenaire de distribution.
17. PARTENAIRES DE DISTRIBUTION. Ansys a conclu des contrats avec des partenaires de distribution pour la revente de certaines offres. Dans le cadre des offres et de l’accès au nuage, si vous achetez une offre et/ou un accès au nuage auprès d’un partenaire de distribution, le partenaire de distribution est tenu de : (i) vous fournir l’accès au nuage, et ii) accepter le paiement de votre part pour toute offre et/ou tout accès au nuage par l’entremise du site du partenaire de distribution et de traiter les remboursements de ces achats pour vous. SI VOUS ACHETEZ UN ACCÈS AU NUAGE PAR L’INTERMÉDIAIRE D’UN PARTENAIRE DE DISTRIBUTION, AUCUN ACCÈS AU NUAGE NE VOUS EST FOURNI PAR ANSYS EN VERTU DU PRÉSENT CONTRAT. VOTRE ACHAT D’UN TEL ACCÈS AU NUAGE RELÈVE ENTIÈREMENT DE VOTRE RELATION AVEC LE PARTENAIRE DE DISTRIBUTION ET N’EST PAS RÉGI PAR LE PRÉSENT CONTRAT.
18. Exportation. Vous reconnaissez et acceptez que le site AIC, les cours de formation et le matériel associé sont soumis aux lois des États-Unis et à d’autres lois applicables régissant l’exportation et/ou la réexportation des cours de formation, y compris, mais sans s’y limiter, les Export Administration Regulations (EAR), les règlements promulguant des restrictions sur les transactions financières administrées par l’Office of Foreign Asset Controls du Département du Trésor des États-Unis, l’International Emergency Economic Powers Act, l’United States Export Administration Act, l’United States Trading with Enemy Act, et tous les règlements, ordonnances et licences émis en vertu de ces lois (collectivement, les lois sur l’exportation). Vous garantissez que vous respecterez toutes les lois sur l’exportation en ce qui concerne votre accès et votre utilisation du site AIC et de toute offre, et vous reconnaissez que les lois sur l’exportation peuvent changer au fil du temps. Vous garantissez en outre que vous n’avez pas été et que vous n’êtes pas actuellement exclu, suspendu, interdit ou empêché d’exporter, de réexporter, de recevoir, d’acheter, de vous procurer ou d’obtenir de toute autre manière un produit, une marchandise ou des données techniques réglementés par une agence du gouvernement des États-Unis. Vous ne réexporterez pas sciemment, directement ou indirectement, toute offre ou toute donnée technique qui vous est fournie par Ansys vers toute destination ou toute personne ou entité en violation des lois sur l’exportation ou du Contrat.
La clause de droit applicable dans la partie ci-dessous ne s’applique pas aux résidents du Québec auxquels s’applique la Loi sur la protection du consommateur.
19.Divers. Ce Contrat ne s’applique pas à tout programme proposé par Ansys ou tout partenaire de formation pour lequel une licence distincte et un contrat de licence de logiciel sont nécessaires. Aucune modification d’une commande ou du Contrat ne sera contraignante à moins d’être convenue par écrit entre le représentant autorisé d’Ansys. Le Contrat est régi et interprété selon le droit matériel interne du Commonwealth de Pennsylvanie, sans tenir compte des principes de conflits de lois. Vous reconnaissez qu’Ansys est en droit de demander une injonction en plus de tout autre recours en cas de violation du Contrat de votre part. Le Contrat est un document électronique généré par un système informatique et ne nécessite aucune signature physique ou numérique. Il s’agit d’un contrat légal entre vous et Ansys qui régit votre accès aux offres proposées sur le site AIC.
20. Conditions générales supplémentaires pour les offres achetées par un client. Outre le Contrat, les conditions supplémentaires suivantes s’appliquent à toute offre achetée par une personne morale de quelque type que ce soit (un « client »). Aux fins de la soumission d’une commande par un client, le terme défini « commande » comprendra également tout achat effectué par un client sans utilisation d’un panier électronique (c’est-à-dire un bon de commande). Le client n’autorisera l’utilisation du site AIC ou de toute offre que par ses employés ou ses utilisateurs contractuels. Aux fins des présentes, on entend par « utilisateurs contractuels » des personnes physiques ou morales, qui ne sont pas des employés réguliers du client, qui participent à l’exécution des services internes de traitement des données du client et qui accèdent à une offre afin de soutenir ces activités. Outre ses employés et ses utilisateurs contractuels, si le client est une université ou un établissement d’enseignement, il peut autoriser des personnes qui sont des étudiants de cet établissement d’enseignement ou de cette université à accéder aux offres et à les utiliser. Ces étudiants seront considérés comme des utilisateurs contractuels du client. Confidentialité. Toute personne utilisant le site AIC doit être titulaire d’une licence en vertu du Contrat pour l’accès, le téléchargement ou l’utilisation du site AIC. Les employés du client, les utilisateurs contractuels et les autres personnes ayant accès aux cours de formation sur le site AIC doivent être informés des droits de propriété intellectuelle d’Ansys et de son partenaire de formation. Le client est responsable de l’utilisation des cours de formation et du site AIC par les utilisateurs contractuels et doit s’assurer que ces derniers (i) utilisent toute offre et le site AIC uniquement dans le cadre d’activités de formation internes du client et (ii) acceptent et respectent ce Contrat. Remboursements. La partie 10 (remboursements) ne s’applique pas aux commandes passées par le(s) client(s). Tous les frais payés pour une offre ne sont pas remboursables, sauf interdiction contraire de la loi. Ansys ne rembourse pas les frais payés pour une offre. Exportation. Le client garantit que lui et ses utilisateurs contractuels resteront respectueux de toutes les lois sur l’exportation en ce qui concerne l’accès et l’utilisation du site AIC et de toute offre, et reconnaît que les lois sur l’exportation peuvent changer au fil du temps. Contrat de certification
Les présentes conditions (ci-après le « Contrat de certification ») s’appliquent à la certification Ansys (le « programme ») et s’ajoutent au Contrat.
En cliquant sur « J’accepte » (ou un bouton similaire) ou en vous inscrivant ou en accédant à tout examen, vous confirmez l’acceptation du Contrat de certification et de toutes les politiques du programme, le cas échéant, qui vous sont fournis ou autrement mis à votre disposition, et vous acceptez d’être lié par le Contrat de certification. Si vous n’êtes pas d’accord, vous n’avez pas le droit de participer à un examen ou d’y accéder, de participer au programme ou de recevoir une certification Ansys.
1.Définitions
Badge. Un certificat électronique qui montre que vous avez terminé et réussi une certification particulière qui vous a été délivrée par Ansys et mise à votre disposition par Credly.
Certification Ansys. La certification que vous recevez après avoir réussi un examen.
Contenu de l’examen. Tous les composants d’un examen, y compris, mais sans s’y limiter, les questions, les réponses, les procédures de test, les images, les graphiques et les diagrammes.
Examen. Un examen offert par Ansys concernant un ou plusieurs cours de formation particuliers.
Vous. La personne qui passe un examen, qui sera l’unique titulaire et récipiendaire d’une certification.
1. Propriété intellectuelle. Tout le contenu de l’examen est la propriété exclusive et confidentielle d’Ansys et Ansys conserve tous les droits, titres et intérêts (y compris les droits de propriété intellectuelle) sur le contenu de l’examen. 3. Badge. Si vous réussissez l’examen qui vous a été communiqué par Ansys, vous recevrez un badge (mis à votre disposition par Credly) qui vous permettra d’accéder à votre certification Ansys. Vous consentez à ce qu’Ansys communique votre nom, votre adresse courriel, toute certification obtenue et toute information pertinente à Credly en vue de l’émission d’un badge. Le badge peut être utilisé selon les méthodes approuvées suivantes : (a) avec votre signature de courriel; (b) sur vos comptes de médias sociaux (LinkedIn, Facebook, Twitter, Google, etc.); (c) avec vos coordonnées dans une présentation ou un document numérique (PowerPoint, PDF, etc.). Vous n’êtes pas autorisé à faire ce qui suit avec votre badge : (i) modifier le texte du badge numérique, (ii) modifier le code intégré dans le badge; ou (iii) faire en sorte que le badge renvoie à une autre adresse Web.
4. Examens. Notation. Ansys se réserve le droit d’établir et de modifier la note de passage sans préavis, et de faire varier les notes de passage entre les différents examens et entre les différentes versions d’un même examen. Ansys se réserve également le droit de ne pas noter certaines questions d’examen. Vous ne serez pas informé des questions non notées, le cas échéant. Les résultats de l’examen refléteront uniquement votre performance sur les questions notées. Reprise. Le processus et les procédures de reprise de l’examen sont en place pour protéger l’intégrité du contenu de l’examen. Si vous n’obtenez pas la note de passage la première fois que vous passez un examen, vous pouvez passer l’examen une (1) seconde fois (une « reprise »). Si vous ne réussissez pas l’examen après la reprise, vous pouvez soumettre à Ansys une nouvelle commande d’examen assujettie au Contrat de certification et au Contrat.
5. Violations du Contrat de certification. Si vous avez enfreint le Contrat de certification, Ansys peut : (a) révoquer toute certification Ansys; (b) vous interdire temporairement ou définitivement de vous présenter à de futurs examens; et/ou (c) révoquer toute certification Ansys précédemment obtenue. Si votre certification est révoquée, vous devez immédiatement vous abstenir d’utiliser à nouveau toute certification, tout badge ou tout titre Ansys, et vous devez immédiatement retirer ces éléments de tout document, matériel, système informatique ou média social. Vous acceptez de payer à Ansys tous les coûts et dépenses pour résoudre les violations par vous du Contrat de certification, y compris tous les frais, honoraires ou autres coûts directs ou indirects encourus par Ansys à la suite de réclamations, d’actions ou de litiges résultant de la violation. ANSYS INNOVATION CERTIFICATIONS MARKETPLACE TERMS AND CONDITIONS OF USE (Canada)
PLEASE READ THESE ANSYS INNOVATION CERTIFICATIONS MARKETPLACE TERMS AND CONDITIONS OF USE (THE “AGREEMENT”) CAREFULLY, WHICH GOVERN YOUR USE OF THE AIC SITE. By using the AIC Site, you (hereinafter “You” or “Your”, as applicable) unconditionally agree to be bound by the Agreement. Your use of the AIC Site constitutes that You have read, understood, and agree to be bound by this Agreement. This Agreement is between You and ANSYS, Inc. with offices at 2600 ANSYS Drive, Canonsburg, PA 15317 and its affiliates (hereinafter “Ansys”).
1. Definitions.
AIC Site. A website made available by Ansys for purposes of providing the Offering.
Badges. An electronic certificate that shows Your completion and passing of a specific Certification issued to You by Ansys and made available by Credly.
Certification. Certification(s) offered in connection with the Training Course(s) inclusive of any Badges. If You purchase a Certification, the Certification Agreement set forth in Exhibit A also applies.
Channel Partner. An unaffiliated business entity that is authorized by Ansys to resell access to the Offerings. Channel Partner(s) may provide Offerings and Cloud Access in certain regions.
Channel Partner Site. A website made available by a Channel Partner that allows You to purchase access to an Offering through a Channel Partner.
Cloud Access. Access to cloud services that You may purchase with an Offering. Cloud Access is purchased by You from Ansys or a Channel Partner, as applicable, and provided by a third party cloud provider. If you purchase Cloud Access from Ansys directly, the Cloud terms set forth on https://www.ansys.com/legal/terms-and-conditions/microsoft-software-license-agreement and any additional terms as provided by Microsoft shall also apply to your use of Cloud Access. Thise Agreement allows You to purchase Cloud Access in connection with an Offering from Ansys, however You expressly acknowledge and agree that any such Cloud Access purchased by You from a Channel Partner (if applicable), is subject to separate terms and conditions between You, the Channel Partner and the third-party cloud provider.
Credly. Credly, Inc., a third party provider that issues digital Badges directly to You, when applicable.
Data. Any content, materials, data and information that You provide to Ansys in connection with the AIC Site.
Fees. The fees payable by You to Ansys or a Channel Partner, as applicable, for access to an Offering or Cloud Access.
Order. Your selected Offerings to purchase via the electronic shopping cart made available to You by Ansys or a Channel Partner, when applicable.
Offering. The applicable Training Course(s), Certification(s), Cloud Access, and Badge(s), and other content made available for purchase on the AIC Site or through a Channel Partner via the Channel Partner’s Site. The Offering may include a bundled solution (e.g. Training Course(s), Cloud Access, Certifications, and/or Badge(s) that are sold as one combined bundle) that are more particularly described on the AIC Site or Channel Partner Site, as applicable.
Personal Data. Any information relating to an identified or identifiable natural person that is processed in accordance with this Agreement.
Programs. Software made available by either Ansys or a Training Partner, as applicable. Program(s) are made available to You under a separate agreement.
Training Course. Non-exclusive training courses provided by Ansys or a Training Partner which aim to provide additional tools/resources/materials to improve your use of Programs. Such classes are made available by Ansys to you on the AIC Site and illustrate how to use the Program(s).
Training Partner. A third-party providing Training Course(s) pertaining to either Ansys Programs or such party’s own Program(s).
2. Order Process. You can access an Offering or Cloud Access by submitting an Order and paying the applicable Fees to Ansys or a Channel Partner, as applicable. Provided that your Order is accepted, you will receive access to an Offering and Cloud Access, as applicable, within twenty-four hours of purchase. If your Order is not accepted for any reason, You will receive notice from Ansys or the Channel Partner, if you’ve purchased an Offering or Cloud Access through a Channel Partner. Your access to any Offering and Cloud Access, as applicable, after an Order is accepted is limited to the time identified on the AIC Site. After such time period has expired You will no longer have access to a specific Offering and Cloud Access, as applicable. You must have an appropriate user identification to gain access to the AIC Site. Once Your account is established and your Order is accepted, You will receive a confirmation email. The Offering and/or Cloud Access may not be available: (i) in certain regions; and (ii) to You if such availability would violate any applicable laws. In the event that an Offering or Cloud Access is not available to You, Your Order will not be accepted.
3. AIC Site Requirements. Access to the AIC Site, any Offering, and Cloud Access is only available via an internet connection.
4. English Language. All Training Courses will be provided in ENGLISH ONLY.
5. Ansys Programs Support and Maintenance. You acknowledge that access to any Offering is not included as part of the fees paid for support and maintenance of any Ansys Program(s).
6.Confidentiality & Ownership. The AIC Site and any Offering provided therein (excluding any Badges which are provided by Credly and any Cloud Access which is purchased from Ansys or a Channel Partner, as applicable), inclusive of any commercial, technical information, and documentation which relate to the foregoing are solely owned by and hereby reserved by Ansys and its Training Partners, as applicable. You only receive a limited license to use the AIC Site and any Offering pursuant to this Agreement. Under no circumstances may the whole or any part of the AIC Site, any Offering, or documentation (if applicable and available) of the foregoing be produced or copied in any form or by any means or translated into another language without the prior written consent of Ansys. The AIC Site and Offering (excluding any Badges and Cloud Access) are confidential information of Ansys and its Training Partners and You agree not to disclose this information to any third party or use such information except as expressly permitted herein. You are permitted to use any Offering (excluding any Badge(s)) and the AIC Site solely for your own internal training purposes. You acknowledge that it is a violation of this Agreement to distribute AIC Site or Offering documentation (if applicable and available), and any Offering, Program(s), links, or passwords to anyone else. You shall not disassemble, decompile, reverse-engineer, copy, translate or make derivative works of the AIC Site or any Offering.
7. Changes. Ansys reserves the right to: (i) modify any Offering available on the AIC Site from time to time, and (ii) amend the content of any Offering without notice to You to correct errors. A Training Course provided by a Training Partner may be removed by Ansys at the request of the Training Partner. To the extent that an Offering is removed from the AIC Site, Ansys shall: (a) inform You by including a note in the applicable Offering description ten (10) days prior to removing the Offering; and (b) in the event that You have already paid for an Offering that is subsequently removed from the AIC Site prior to You accessing such Offering, please contact Ansys at the email address identified in Section 10 below for a refund of Your purchase price paid for such Offering. If you’ve purchased an Offering from a Channel Partner, contact the Channel Partner directly to request a refund of Your purchase price paid for such Offering.
The following clause does not apply to Quebec residents to whom the Québec Consumer Protection Act applies.
8.Disclaimer of Warranty. The AIC Site and each Offering provided therein are provided by Ansys and its Training Partners, as applicable, to You on an “as is” and “as available” basis. The Offering is made available to You by Ansys for a fixed period of time, as further specified on the specific product page(s) for the Offering. Ansys does not warrant the accuracy or completeness of any Offering nor any links or the information, text, graphics, links, or other items contained within an Offering. Ansys and its Training Partners disclaim all warranties either express or implied, including without limitation, any implied warranties of merchantability or fitness or suitability for any purpose (whether or not Ansys or its Training Partners have reason to know, have been advised of, or are otherwise in fact aware of any such purpose) or non-infringement, whether alleged to arise by law, by reason of custom or usage in the trade, or by course of dealing.
9.Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ANSYS AND ITS TRAINING PARTNERS, AND THEIR RESPECTIVE AFFILIATES, OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, AGENTS, OR LICENSORS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, REVENUE, GOODWILL, USE OR CONTENT) HOWEVER CAUSED UNDER ANY THEORY OF LIABILITY, INCLUDING, WITHOUT LIMITATION, CONTRACT, TORT, WARRANTY, NEGLIGENCE OR OTHERWISE, EVEN IF ANSYS HAS BEEN ADVISED AS TO THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF ANSYS AND ITS TRAINING PARTNERS, AND THEIR RESPECTIVE AFFILIATES, OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, AGENTS, OR LICENSORS, RELATING TO THE OFFERING WILL BE LIMITED TO THE ACTUAL AMOUNTS PAID BY YOU WITH RESPECT TO THE PARTICULAR OFFERING THAT IS THE SUBJECT OF THE CLAIMED LIABILITY. THE LIMITATIONS AND EXCLUSION ALSO APPLY IF THIS REMEDY DOES NOT FULLY COMPENSATE YOU FOR ANY LOSSES OR FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF CERTAIN TYPES OF DAMAGES AND, IN SUCH EVENT, THIS LIMITATION WILL NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW. WITH RESPECT TO CLOUD ACCESS PROCURED THROUGH ANSYS, YOU ARE SOLELY RESPONSIBLE FOR YOUR USE OF ANY CLOUD ACCESS IN ACCORDANCE WITH ANY TERMS AS PROVIDED BY MICROSOFT.
10.Refunds. In the event that you have purchased an Offering and/or Cloud Access from a Channel Partner, you can request a refund for an Offering in accordance with the Channel Partner’s refund policy. In the event that you have purchased an Offering and/or Cloud Access from Ansys, You may request a refund for an Offering if You are dissatisfied with Your purchase for any reason and contact Ansys at aic-refunds@ansys.com within fourteen (14) days of purchase (the “Refund Request Period”) to receive a refund in full. You may request a refund for Cloud Access provided that: (i) your request is made during the Refund Request Period; and (ii) you have not used any portion of the Cloud Access purchased, otherwise there are no refunds for Cloud Access. Refunds may take up to four (4) business days to process. If Your refund was approved but You have not received it after four (4) business days, first check Your credit card. Then contact Your credit card provider. There is often some processing time before a refund is posted. If You have completed all of these steps and You still have not received your refund, please contact us at aic-refunds@ansys.com. Your access to an Offering will be cancelled upon submitting a refund request. Ansys shall not be liable for any failure to provide a Training Course due to causes or conditions beyond Ansys’ reasonable control.
11. Termination. Ansys hereby reserves the right to cancel Your access to and license to use any Offering available on the AIC Site in the event that You breach this Agreement. Ansys shall provide You with notice in such event. You should immediately cease use of any Offering and delete any tangible or electronic embodiments of such information in your possession. Your login credentials to the AIC Site will be revoked in such instance.
12.Badges. After earning a particular Badge subject to the criteria set forth by Ansys and to the extent that a Badge is offered as part of a particular Offering that you Ordered, You will be invited to create an account on the Credly system, subject to acceptance of the Credly Terms of Service applicable at that time. Credly may communicate directly with You regarding the availability, management, and use of your Badges.
13. Non-assignability. Your access and use of the AIC Site and any Offering is nonassignable, nonexclusive, and non-transferable. You shall not assign this Agreement or any Order to any third party by operation of law, or in bankruptcy, or otherwise without prior written consent of Ansys. You shall hold Ansys and its Training Partners harmless from and against all losses, damages, liabilities as a result of your non-compliance with this provision.
14. Your Data. You agree that any Data You provide to Ansys or a Training Partner via the AIC Site or otherwise related to either the AIC Site or a Training Course may be used for the following purposes: (i) performance of any required compliance activities with respect to Your purchase of any Offering or Cloud Access, (ii) processing payment and delivering the AIC Site and Training Courses You purchased, (iii) providing Certification exams and issues Badges and credentials, (iv) product improvement (in particular, features and functionality, workflows and user interfaces for the AIC Site and any Training Course(es) and development of new Ansys products and services), (v) improving Ansys resource allocation and support, (vi) internal demand planning, (vii) training and developing machine learning algorithms, (viii) identification of industry trends and developments, creation of indices and anonymous benchmarking.
15. Feature Requests and Product Improvements. You acknowledge and agree that any interaction with or feedback provided by You to Ansys, including any Data, either directly stated or implied, may be used by Ansys to improve Ansys products and services in the future. Ansys shall be the sole owner of any and all developments, modifications, enhancements, changes or new proprietary information or intellectual property that is developed in relation to any Ansys software or related services (“Improvements”), including, without limitation, comments or feedback (“Feedback”) that is provided by You to Ansys. Ansys shall have all rights associated any such Improvements and Feedback without recourse of reference to You.
16. Data Privacy. To the extent that any Data You provide to Ansys or a Training Partner via the AIC Site contains Personal Data, such Personal Data will be processed in accordance with the Ansys privacy notice (available at www.ansys.com/privacy). The AIC Sites are primarily operated and managed on servers located and operated within the United States. Accordingly, by submitting Your Personal Data to Ansys, you are sending your Personal Data outside of the country where you reside or are located, including to the United States. To the extent reasonably possible, Ansys shall ensure that any transfers of such Personal Data comply with all applicable data protection laws, including, to the extent applicable, restrictions on cross-border data transfers under the General Data Protection Regulation (Regulation (EU) 2016/679). If Your access to the AIC Site and the Offerings was purchased by a corporate or educational entity, Your access and usage information is accessible to such entity. Please note that, in connection with the Offerings and Cloud Access, if You purchase any Offering and/or Cloud Access from a Channel Partner, any Personal Data submitted to such Channel Partner in connection with Your purchase shall be processed in accordance with the Channel Partner’s privacy policy.
17. CHANNEL PARTNERS. Ansys has contracted with Channel Partner(s) to resell certain Offerings. In connection with the Offerings and Cloud Access, if You purchase any Offering and/or Cloud Access from a Channel Partner, the Channel Partner is responsible for: (i) providing Cloud Access to You, and ii) accepting payment from You for any Offering and/or Cloud Access via the Channel Partner Site and for processing refunds for such purchases to You. IF YOU PURCHASE CLOUD ACCESS THROUGH A CHANNEL PARTNER, NO CLOUD ACCESS IS PROVIDED BY ANSYS TO YOU UNDER THIS AGREEMENT. YOUR PURCHASE OF ANY SUCH CLOUD ACCESS IS ENTIRELY BETWEEN YOU AND THE CHANNEL PARTNER AND IS NOT GOVERNED BY THIS AGREEMENT.
18. Export. You acknowledge and agree that the AIC Site, Training Courses and associated material provided therein are subject to U.S. laws and other applicable laws governing the export and/or re-export of the Training Courses including, but not limited to, the Export Administration Regulations, regulations promulgating financial transaction restrictions administered by the Office of Foreign Asset Controls of the U.S. Department of the Treasury, the International Emergency Economic Powers Act, the United States Export Administration Act, the United States Trading with the Enemy Act, and all regulations, orders and licenses issued thereunder (collectively, the “Export Laws”). You warrant that You will remain in compliance with all Export Laws with respect to Your access of and use of the AIC Site and any Offering and acknowledge that Export Laws may change over time. You additionally warrant that You have not been, and are not currently, debarred, suspended, prohibited or impaired from exporting, re-exporting, receiving, purchasing, procuring, or otherwise obtaining any product, commodity, or technical data regulated by any agency of the government of the United States. You will not knowingly re-export, directly or indirectly, any Offering or any technical data provided by Ansys to You to any destination or person or entity in violation of the Export Laws or this Agreement.
The governing law clause in the following section does not apply to Quebec residents to whom the Québec Consumer Protection Act applies.
19. Miscellaneous. This Agreement does not apply to any Program(s) made available by Ansys or any Training Partner for which a separate license and software license agreement is necessary. No variation to an Order or this Agreement shall be binding unless agreed in writing between the authorized representative of Ansys. This Agreement shall be governed by and construed under the internal substantive laws of the Commonwealth of Pennsylvania without regards to conflicts of laws principles. You acknowledge that Ansys shall be entitled to seek injunctive relief in addition to all other remedies for any breach of this Agreement by You. This Agreement constitutes an electronic record generated by a computer system and do not require any physical or digital signatures. This is a legal agreement between You and Ansys which governs your access to the Offerings made available on the AIC Site.
20. Additional Terms and Conditions for Offerings Purchased by a Customer. In addition to this Agreement, the following additional terms and conditions shall apply to any Offering that is purchased by a legal entity of any type (a “Customer”). For purposes of a Customer submitting an Order, the defined term “Order” will also include any purchase made by a Customer without use of an electronic shopping cart (i.e. a Purchase Order). Customer shall not permit use of the AIC Site or any Offering other than by its employees or Contract Users. For purposes hereof, “Contract Users” shall mean an individual or entity, not a regular employee of Customer, who is engaged to perform Customer’s internal data processing services and accesses an Offering in further support of such activities. In addition to its employees and Contract Users, if Customer is a university or academic institution, Customer may permit individuals who are students at such academic facility or university to access and use the Offering(s). Such students will be considered Contract Users of Customer. Confidentiality. Every person using the AIC Site must be licensed under this Agreement for accessing, downloading, or using the AIC Site. Customer’s employees, Contract Users, and others who have access to the Training Courses on the AIC Site must be informed of Ansys’ and its Training Partner’s intellectual property rights. Customer is responsible for the use of the Training Courses and the AIC Site by Contract Users and for ensuring that the Contract Users (i) use any Offering and the AIC Site only for internal training activities of the Customer and (ii) agree to and comply with this Agreement. Refunds. Section 10 (refunds) does not apply to Orders placed by the Customer(s). All fees paid for any Offerings are non-returnable, unless otherwise prohibited by law. Ansys does not provide refunds for any fees paid for an Offering. Export. Customer warrants that Customer and its Contract Users will remain in compliance with all Export Laws with respect to its access of and use of the AIC Site and any Offering and acknowledges that Export Laws may change over time. Customer (including its Contract Users) additionally warrants that Customer has not been, and is not currently, debarred, suspended, prohibited or impaired from exporting, re-exporting, receiving, purchasing, procuring, or otherwise obtaining any product, commodity, or technical data regulated by any agency of the government of the United States. Customer is solely responsible for Customer’s Contract Users and neither Customer nor its Contract Users will knowingly re-export, directly or indirectly, any offering or any technical data provided by Ansys to Customer to any destination or person or entity in violation of the Export Laws or this Agreement. Data Privacy. As part of its provision of the AIC Site and the Offerings made available therein, Ansys may also make certain Usage Information of Named Users available to Customer. In the event that Customer is not a Named User or Contract User accessing the Training Course(s) and the AIC Site, Customer hereby represents and warrants that it shall provide sufficient notice to all Named Users of Ansys’s processing of the Personal Data as described in this Agreement. For purposes hereof, “Named User” means an employee or Contract User of Customer, who has been authorized by Customer to be a user of the AIC Site and who is identifiable as a unique user by their e-mail address; and “Usage Information” means any information relating to a Named User’s access and usage of the AIC Site including records of courses taken and access logs. Miscellaneous. To the extent applicable, any terms and conditions set forth in Customer’s purchase order or other standardized form provided by Customer to Ansys are hereby excluded. This Agreement will be binding upon and inure to the benefit of the parties hereto and their respective successors, permitted assigns and permitted transferees. No variation to an Order or this Agreement shall be binding unless agreed in writing between the authorized representative of Ansys and Customer.
21. Language of the Agreement. The parties hereto acknowledge that a French version of this Agreement has been remitted to the [adhering party], which French version the [adhering party] acknowledges having received. Following such remittance, the parties hereto have agreed that this Agreement, as well as any notice, document or instrument relating to it be drawn up in English only but without prejudice to any such notice, document or instrument which may from time to time be drawn up in French only or in both French and English. Certification Agreement
These terms and conditions (hereinafter the “Certification Agreement”) apply to the Ansys Certification (the “Program”) and are in addition to the Agreement.
By clicking on “I agree” (or a similar button) or by registering for or accessing any Exam, You confirm acceptance of this Certification Agreement and all program policies, if any, provided or otherwise made available to You, and You agree to be bound by this Certification Agreement. If You do not agree, You do not have the right to access or take an Exam, participate in the Program or receive an Ansys Certification.
1.Definitions
Ansys Certification. The certification You receive upon successfully completing an Exam.
Badge. An electronic certificate that shows Your completion and passing of a specific Certification issued to You by Ansys and made available by Credly.
Exam. An exam offered by Ansys pertaining to specific Training Course(s).
Exam Content. All components of any Exams, including but not limited to questions, answers, testing procedures, images, graphs, and diagrams.
You. The individual taking an Exam, who will be the sole holder and recipient of a Certification.
1. Intellectual Property Ownership. All Exam Content is the exclusive and confidential property of Ansys and Ansys retains all rights, title and interest (including intellectual property rights) in and to the Exam Content. No content of an Exam may be copied, photographed, reproduced, modified, published, uploaded, transmitted, or distributed in any way. The confidentiality provisions as set forth in the Agreement apply to all Exam Content. Ansys Certification(s) are posted in the names of individuals, not entities. No entity may claim association with a particular Ansys Certification.
2. Conduct. You agree not to take any action that could compromise the confidentiality of any Exam, Exam process, or Exam answers. Prohibited actions include, but are not limited to: (i) distributing actual or purported Exam Content or substantive descriptions of Exam Content, by any verbal or written means, including but not limited to internet web postings, formal or informal test preparation, discussion groups, paper copies, chat rooms, forums, or social networking sites; (ii) seeking and/or obtaining unauthorized access to Exam Content, including via the internet or in person; (iii) providing incomplete or falsified information or documentation during registration; (iv) use of any equipment, including but not limited to, cellular phones, laptop computer, hand-held computers/devices, books, notes, paper, writing materials, and any device that may be used to record data or capture images, for the purpose of recording data or capturing Exam images; (v) giving, receiving, or obtaining unauthorized assistance of any kind during the Exam test process; (vi) altering or misrepresenting Your status as an Ansys Certification individual within the Program to any individual or entity; (vii) allowing, hiring, or soliciting others to take an exam on Your behalf; or (vii) committing any other act or omission that would bring disrepute on Ansys or the Program.
3. Badges. If You successfully pass an Exam as communicated by Ansys to You, You will be issued a Badge (made available by Credly) to access Your Ansys Certification. You consent to Ansys’ sharing of Your name, email address, any earned Certification(s), and any pertinent information with Credly for issuance of a Badge. The Badge can be used in the following approved methods: (a) with Your email signature; (b) featured on Your social media account (LinkedIn, Facebook, Twitter, Google, etc.); (c) within Your contact information in a digital presentation or document (PowerPoint, PDF, etc.). You may not do any of the following with Your Badge: (i) modify the text of the digital badge, (ii) modify the code embedded in the Badge; or (iii) cause the Badge to link to another web address;.
4. Exams. Scoring. Ansys reserves the right to establish and alter the passing score without notice, and to have passing scores differ between various Exams and between different versions of the same Exam. Ansys also reserves the right to have certain questions be unscored test questions. You will not be informed as to which questions are unscored, if applicable. Exam results will reflect Your performance on the scored questions only. Retake. Exam retake process and procedures are in place to protect the integrity of the Exam Content. If You do not achieve a passing score the first time You take an Exam, You may take the Exam one (1) additional time (a “Retake”). If You do not pass the Exam after the Retake, You can submit a new Order to Ansys for an Exam subject to this Certification Agreement and the Agreement.
5. Violations of this Certification Agreement. If You have violated this Certification Agreement, Ansys may: (a) revoke any and all Ansys Certification(s); (b) place a temporary or permanent ban on You from taking future Exams; and/or (c) revoke previously earned Ansys Certification(s). If Your Certification is revoked, You must immediately refrain from further use of any Ansys Certification, Badges, or titles, and must immediately remove any such items from any documents, materials, computer systems, or social media. You agree to pay Ansys any and all costs and expenses to resolve violations by You of this Certification Agreement, including any and all direct or indirect expenses, fees, or other costs incurred by Ansys as a result of claims, actions or litigation resulting from the violation. Notice of a violation and sanctions will be sent to Your email address on file with Ansys. All decisions are final and there is no appeals process.
