TÉRMINOS Y CONDICIONES DE USO DEL MERCADO DE CERTIFICACIONES DE INNOVACIÓN DE ANSYS (ANSYS INNOVATION CERTIFICATIONS, AIC)- MÉXICO
Cuando hace clic en Aceptar y envía un Pedido, usted (en adelante, “Usted” o “Su”, según corresponda) acepta los Términos y las Condiciones de Uso del Mercado de certificaciones de innovación Ansys Innovation Certifications (los “Términos”). Este acuerdo se celebra entre Usted y ANSYS, Inc. con sede en 2600 ANSYS Drive, Canonsburg, PA 15317 y sus afiliados (en adelante, “Ansys”).
1:Definiciones
Acceso a la Nube. Acceso a los servicios en la nube que puede adquirir con una Oferta. Usted adquiere el Acceso a la Nube de Ansys o de un Socio de Canal, según corresponda, y lo proporciona un proveedor externo de servicios en la nube. Si adquiere el Acceso a la Nube directamente de Ansys, los Términos de la Nube establecidos en https://www.ansys.com/legal/terms-and-conditions/microsoft-software-license-agreement y cualquier término adicional que estipule Microsoft también se aplicarán al uso del Acceso a la Nube. Los presentes Términos le permiten adquirir Acceso a la Nube en relación con una Oferta de Ansys; no obstante, Usted reconoce y acepta expresamente que dicho Acceso a la Nube que adquiera de un Socio de Canal (si corresponde) está sujeto a términos y condiciones independientes entre Usted, el Socio de Canal y el proveedor externo de servicios en la nube.
Certificación. Las certificaciones que se ofrecen en relación con los Cursos de Capacitación, incluidas las Insignias. Si adquiere una Certificación, también se aplica el Acuerdo de Certificación establecido en el Anexo A.
Curso de Capacitación. Los cursos de capacitación no exclusivos que imparte Ansys o un Socio de Capacitación cuyo objetivo es proporcionar herramientas/recursos/materiales adicionales para mejorar el uso de los Programas. Ansys pone a Su disposición dichas clases en el Sitio de AIC y en ellas se demuestra cómo usar los Programas.
Datos. Cualquier contenido, material, dato e información que Usted proporcione a Ansys en relación con el Sitio de AIC.
Información Personal. Cualquier información relacionada con una persona física identificada o identificable que se procese de acuerdo con los presentes Términos.
Insignias. Un certificado electrónico que muestra que Usted ha completado y aprobado una Certificación específica que Ansys emite para Usted y que Credly pone a disposición.
Pedido. Las Ofertas seleccionadas para comprar a través del carrito de compras electrónico que Ansys o un Socio de Canal pone a su disposición, cuando corresponda.
Programas. El software que Ansys o un Socio de Capacitación pone a disposición, según corresponda. Los Programas se ponen a Su disposición en virtud de un acuerdo independiente.
Oferta. Los Cursos de Capacitación, las Certificaciones, el Acceso a la Nube y las Insignias correspondientes, y otros contenidos disponibles para su compra en el Sitio de AIC. Con respecto a cualquier Oferta adquirida a través de un Socio de Canal, las Ofertas aplicables se adquieren a través del Sitio del Socio de Canal. La Oferta puede incluir un paquete de soluciones (p. ej., Cursos de Capacitación, Acceso a la Nube, Certificaciones o Insignias que se venden como un paquete combinado) que se describen más detalladamente en el Sitio de AIC o el Sitio del Socio de Canal, según corresponda.
Sitio de AIC. Un sitio web que Ansys pone a disposición con el fin de proporcionar la Oferta.
Sitio de Socios de Canal. Un sitio web puesto a disposición por un Socio de Canal que le permite a Usted obtener acceso a una Oferta a través de un Socio de Canal.
Socio de Canal. Una entidad comercial no afiliada que está autorizada por Ansys para revender el acceso a las Ofertas. Los Socios de Canal pueden proporcionar Ofertas y Acceso a la Nube en ciertas regiones.
Socio de Capacitación. Un tercero que proporciona Cursos de Capacitación relativos a los Programas de Ansys o a los Programas propios de dicha parte.
Tarifas. Las tarifas que debe abonar a Ansys o a un Socio de Canal, según corresponda, por el acceso a una Oferta o Acceso a la Nube.
2:Proceso del Pedido. Para acceder a una Oferta u obtener el Acceso a la Nube, puede enviar un Pedido y pagar las Tarifas correspondientes a Ansys o a un Socio de Canal, según corresponda. Siempre que se acepte su Pedido, recibirá acceso a una Oferta y Acceso a la Nube, según corresponda, dentro de las veinticuatro horas posteriores a la compra. Si su Pedido no se acepta por algún motivo, recibirá una notificación de Ansys o del Socio de Canal, si ha adquirido una Oferta o Acceso a la Nube a través de un Socio de Canal. El acceso a cualquier Oferta y Acceso a la Nube, según corresponda, después de la aceptación de un Pedido está limitado al tiempo identificado en el Sitio de AIC. Una vez transcurrido dicho plazo, ya no tendrá acceso a una Oferta específica ni Acceso a la Nube, según corresponda. Debe tener una identificación de usuario adecuada para obtener acceso al Sitio de AIC. Una vez que se haya creado Su cuenta y se haya aceptado su Pedido, recibirá un correo electrónico de confirmación. La Oferta o el Acceso a la Nube pueden no estar disponibles: (i) en determinadas regiones; y (ii) para Usted si dicha disponibilidad infringiera las leyes vigentes. En el caso de que una Oferta o el Acceso a la Nube no esté disponible para Usted, el Pedido no se aceptará.
3:Requisitos del Sitio de AIC. El acceso al Sitio de AIC, a cualquier Oferta y el Acceso a la Nube solo está disponible a través de una conexión a Internet.
4:Soporte y Mantenimiento de los Programas de Ansys. Usted reconoce que el acceso a cualquier Oferta no está incluido como parte de las tarifas pagadas por soporte y mantenimiento de cualquier Programa de Ansys.
5:Confidencialidad y Propiedad. El Sitio de AIC y cualquier Oferta que se proporcione allí (excluyendo las Insignias que suministra Credly y cualquier Acceso a la Nube que se adquiera de Ansys o de un Socio de Canal, según corresponda), incluida cualquier información comercial, técnica y documentación que se relacione con lo anterior. son propiedad exclusiva de Ansys y sus Socios de Capacitación y por el presente quedan reservados para estos, según corresponda. Usted recibe solamente una licencia limitada para usar el Sitio de AIC y cualquier Oferta de conformidad con los presentes Términos. En ninguna circunstancia, la totalidad o parte del Sitio de AIC, cualquier Oferta o documentación (si corresponde y está disponible) de lo anterior podrá presentarse o copiarse en cualquier forma o por cualquier medio o traducirse a otro idioma sin el consentimiento previo por escrito de Ansys. El Sitio de AIC y la Oferta (excluyendo las Insignias y el Acceso a la Nube) son información confidencial de Ansys y sus Socios de Capacitación y Usted acepta no divulgar esta información a ningún tercero ni usar dicha información, excepto según lo expresamente permitido en el presente documento. Se le permite usar cualquier Oferta (excluyendo las Insignias) y el Sitio de AIC únicamente para sus propios fines de capacitación interna. Usted reconoce que la distribución del Sitio de AIC o la documentación de la Oferta (si corresponde y está disponible), y cualquier Oferta, Programa, enlace o contraseña a cualquier otra persona constituye un incumplimiento de los presentes Términos. Usted no deberá desmontar, descompilar, hacer ingeniería inversa, copiar, traducir o realizar trabajos derivados del Sitio de AIC o cualquier Oferta.
6:Cambios. Ansys se reserva el derecho de: (i) modificar oportunamente cualquier Oferta disponible en el Sitio de AIC, y (ii) enmendar el contenido de cualquier Oferta sin previo aviso para corregir errores. Ansys puede eliminar un Curso de Capacitación impartido por un Socio de Capacitación a pedido del Socio de Capacitación. En la medida en que se retire una Oferta del Sitio de AIC, Ansys deberá: (a) informarle mediante la inclusión de una nota en la descripción de la Oferta pertinente diez (10) días antes de retirar la Oferta; y (b) en caso de que ya haya pagado por una Oferta que posteriormente se retira del Sitio de AIC antes de acceder a dicha Oferta, comuníquese con Ansys a la dirección de correo electrónico que se menciona en la Sección 9 a continuación para obtener un reembolso del precio de compra pagado por tal Oferta. Si adquirió una Oferta de un Socio de Canal, comuníquese directamente con el Socio de Canal para solicitar un reembolso del precio de compra pagado por dicha Oferta.
7:Exclusión de Garantías. El Sitio de AIC y cada Oferta que allí se brinda son proporcionados por Ansys y sus Socios de Capacitación, según corresponda, “en el estado en que se encuentran” y “según disponibilidad”. Ansys pone a su disposición la Oferta durante un período determinado, tal como se especifica en las páginas de productos específicos de la Oferta. Ansys no garantiza la exactitud ni la integridad de ninguna Oferta ni de ningún enlace o información, texto, gráfico, vínculo u otros elementos contenidos en una Oferta. Ansys y sus Socios de Capacitación renuncian a todas las garantías, ya sean expresas o implícitas, incluidas, entre otras, las garantías implícitas de comerciabilidad o idoneidad o adecuación para cualquier propósito (ya sea que Ansys o sus Socios de Capacitación tengan o no motivos para saber, hayan sido informados o estén de otro modo conscientes de tal propósito) o de no infracción, tanto si se alega que surgen de la legislación, los usos y las costumbres en el comercio, o el curso de las negociaciones.
8:Limitación de Responsabilidad. HASTA EL GRADO MÁXIMO QUE PERMITA LA LEGISLACIÓN, EN NINGÚN CASO ANSYS, SUS SOCIOS DE CAPACITACIÓN Y SUS RESPECTIVOS AFILIADOS, DIRECTIVOS, DIRECTORES, ACCIONISTAS, EMPLEADOS, AGENTES O LICENCIANTES SERÁN RESPONSABLES DE LOS DAÑOS INDIRECTOS, INCIDENTALES, ESPECIALES, PUNITIVOS, EJEMPLARES O EMERGENTES (LO QUE INCLUYE, ENTRE OTROS, DAÑOS POR LUCRO CESANTE, PÉRDIDA DE INGRESOS, FONDO DE COMERCIO, USO O CONTENIDO), INDEPENDIENTEMENTE DE LA CAUSA, EN VIRTUD DE CUALQUIER TEORÍA DE RESPONSABILIDAD, LO QUE INCLUYE, A MODO ENUNCIATIVO, CUALQUIER CONTRATO, AGRAVIO, GARANTÍA, NEGLIGENCIA U OTRO SUPUESTO, INCLUSO SI SE HA SIDO ADVERTIDO A ANSYS DE LA POSIBILIDAD DE TALES DAÑOS. HASTA EL GRADO MÁXIMO QUE PERMITA LA LEGISLACIÓN APLICABLE, LA RESPONSABILIDAD TOTAL DE ANSYS, SUS SOCIOS DE CAPACITACIÓN Y SUS RESPECTIVOS AFILIADOS, DIRECTIVOS, DIRECTORES, ACCIONISTAS, EMPLEADOS, AGENTES O LICENCIANTES EN RELACIÓN CON LA OFERTA SE LIMITARÁ A LOS IMPORTES REALES QUE USTED ABONÓ CON RESPECTO A LA OFERTA CONCRETA QUE SEA OBJETO DE LA RESPONSABILIDAD RECLAMADA. LAS LIMITACIONES Y EXCLUSIONES TAMBIÉN SE APLICAN SI ESTE RECURSO NO LO COMPENSA TOTALMENTE POR CUALQUIER PÉRDIDA O NO CUMPLE SU PROPÓSITO ESENCIAL. ALGUNAS JURISDICCIONES NO PERMITEN LA LIMITACIÓN DE DETERMINADOS TIPOS DE DAÑOS Y, EN DICHO CASO, ESTA LIMITACIÓN NO SE LE APLICARÁ EN LA MEDIDA EN QUE LO PROHÍBA LA LEGISLACIÓN. CON RESPECTO AL ACCESO A LA NUBE QUE SE OBTIENE A TRAVÉS DE ANSYS, USTED ES EL ÚNICO RESPONSABLE DEL USO DE CUALQUIER ACCESO A LA NUBE DE ACUERDO CON LOS TÉRMINOS QUE ESTABLECE MICROSOFT.
9:Reembolsos. Puede solicitar un reembolso por una Oferta si no está satisfecho con Su compra por cualquier motivo y comunicarse con Ansys a la siguiente dirección de correo electrónico aic-refunds@ansys.com dentro de los catorce (14) días posteriores a la compra (el “Período de Solicitud de Reembolso”) para recibir un reembolso completo. Puede solicitar un reembolso por el Acceso a la Nube siempre que: (i) su solicitud se realice durante el Período de Solicitud de Reembolso; y (ii) no haya utilizado ninguna parte del Acceso a la Nube adquirido; de lo contrario, no habrá reembolsos por el Acceso a la Nube. Los reembolsos pueden tardar hasta cuatro (4) días hábiles en procesarse. Si se aprobó Su reembolso, pero no lo recibió después de cuatro (4) días hábiles, primero verifique Su tarjeta de crédito. Luego, comuníquese con el proveedor de la tarjeta de crédito. Suele transcurrir cierto tiempo antes de que se contabilice el reembolso. Si completó todos estos pasos y aún no ha recibido Su reembolso, comuníquese con nosotros a través de la siguiente dirección de correo electrónico aic-refunds@ansys.com. Se cancelará el acceso a una Oferta luego de enviar una solicitud de reembolso. Ansys no será responsable ante la imposibilidad de proporcionar un Curso de Capacitación debido por causas o condiciones ajenas al control razonable de Ansys. En el caso de que haya comprado una Oferta o Acceso a la Nube de un Socio de Canal, puede solicitar un reembolso por una Oferta de acuerdo con la política de reembolso del Socio de Canal.
10:Rescisión. Ansys se reserva el derecho de cancelar Su acceso a cualquier Oferta disponible en el Sitio de AIC y licencia para usar dicha Oferta en caso de incumplimiento de los presentes Términos. En tal caso, Ansys deberá enviarle una notificación. Debe dejar de utilizar inmediatamente cualquier Oferta y eliminar cualquier soporte tangible o electrónico de dicha información que esté en su poder. En tal caso, se revocarán las credenciales de inicio de sesión en el Sitio de AIC.
11:Insignias. Después de obtener una Insignia concreta con arreglo a los criterios establecidos por Ansys y en la medida en que se ofrezca una Insignia como parte de una Oferta particular que Usted haya solicitado, se lo invitará a crear una cuenta en el sistema Credly, previa aceptación de las Condiciones de Servicio de Credly aplicables en ese momento. Credly puede comunicarse directamente con Usted con respecto a la disponibilidad, la administración y el uso de las Insignias.
12:Prohibición de Cesión. El acceso y el uso del Sitio AIC y cualquier Oferta no puede cederse, no es exclusivo y es intransferible. No deberá ceder los presentes Términos ni ningún Pedido a un tercero por ministerio de la ley, o en caso de quiebra, o de otro modo sin el consentimiento previo por escrito de Ansys. Usted eximirá a Ansys y a sus Socios de Capacitación de toda pérdida, daño y obligación derivados del incumplimiento de la presente disposición.
13:Sus Datos. Usted acepta que cualquier Dato que proporcione a Ansys o a un Socio de Capacitación a través del Sitio de AIC o relacionado con el Sitio de AIC o un Curso de Capacitación puede usarse para los siguientes propósitos: (i) la realización de cualquier actividad de cumplimiento normativo requerida con respecto a Su compra de cualquier Oferta o Acceso a la Nube, (ii) el procesamiento del pago y la entrega del Sitio de AIC y los Cursos de Capacitación que haya comprado, (iii) la realización de exámenes de Certificación y la emisión de Insignias y credenciales, (iv) la mejora del producto (en particular, características y funcionalidad, flujos de trabajo e interfaces de usuario para el Sitio de AIC y cualquier Curso de Capacitación y desarrollo de nuevos productos y servicios de Ansys), (v) la mejora de la asignación de recursos y soporte de Ansys, (vi) la planificación de la demanda interna, (vii) la formación y el desarrollo de algoritmos de aprendizaje automático, (viii) la identificación de tendencias y novedades de la industria, la creación de índices y el análisis técnico comparativo (benchmarking) anónimo.
14:Solicitudes de Características y Mejoras del Producto. Usted reconoce y acepta que Ansys puede utilizar cualquier interacción o comentario que se le proporcione, incluidos los Datos, ya sea de forma directa o implícita, para mejorar los productos y los servicios de Ansys en el futuro. Ansys será el único propietario de todos y cada uno de los desarrollos, las modificaciones, las mejoras, los cambios o nueva información patentada o propiedad intelectual que se desarrolle en relación con cualquier software de Ansys o servicios relacionados (“Mejoras”), lo que incluye, entre otros comentarios u opiniones (“Comentarios”) que Usted proporcione a Ansys. Ansys tendrá todos los derechos asociados con tales Mejoras y Comentarios sin recurrir a Usted.
15:Privacidad de los Datos. En la medida en que los Datos que proporcione a Ansys o a un Socio de Capacitación a través del Sitio de AIC contengan Información Personal, dicha Información se procesará de acuerdo con el aviso de privacidad de Ansys (disponible en www.ansys.com/privacy). Los Sitios de AIC se operan y administran principalmente en servidores ubicados y operados dentro de los Estados Unidos. En consecuencia, cuando envía Su Información Personal a Ansys, está enviando dicha información fuera del país donde reside o se encuentra, incluidos los Estados Unidos. Ansys deberá asegurarse de que cualquier transferencia de dicha Información Personal cumpla con todas las leyes de protección de datos pertinentes, incluidas, en la medida aplicable, las restricciones a las transferencias transfronterizas de datos en virtud del Reglamento General de Protección de Datos (Reglamento [UE] 2016/679). Si una entidad corporativa o educativa compró Su acceso al Sitio de AIC y las Ofertas, dicha entidad podrá ingresar a Su información de acceso y uso. En relación con las Ofertas y el Acceso a la Nube, tenga en cuenta que, si Usted adquiere cualquier Oferta o Acceso a la Nube de un Socio de Canal, toda la Información Personal enviada a dicho Socio de Canal en relación con Su compra se procesará de acuerdo con la política de privacidad del Socio de Canal.
16:SOCIOS DE CANAL. Ansys ha contratado a Socios de Canal para revender determinadas Ofertas. En relación con las Ofertas y el Acceso a la Nube, si adquiere cualquier Oferta o Acceso a la Nube de un Socio de Canal, dicho socio es responsable de: (i) proporcionarle Acceso a la Nube, y ii) aceptar el pago que Usted realice por cualquier Oferta o Acceso a la Nube a través del Sitio del Socio de Canal y de procesar los reembolsos por tales compras para Usted. SI ADQUIERE ACCESO A LA NUBE A TRAVÉS DE UN SOCIO DE CANAL, ANSYS NO LE PROPORCIONARÁ ACCESO A LA NUBE EN VIRTUD DEL PRESENTE ACUERDO. LA ADQUISICIÓN DE DICHO ACCESO A LA NUBE ES EXCLUSIVAMENTE ENTRE USTED Y EL SOCIO DE CANAL.
17:Exportación. Usted reconoce y acepta que el Sitio de AIC, los Cursos de Capacitación y el material asociado que allí se proporciona están sujetos a las leyes de EE. UU. y otras leyes aplicables que rigen la exportación o la reexportación de los Cursos de Capacitación, lo que incluye, entre otras, las Regulaciones de Administración de Exportaciones, las regulaciones que promulgan restricciones a las transacciones financieras administradas por la Oficina de Control de Activos Extranjeros del Departamento del Tesoro de los EE. UU., la Ley de Poderes Económicos de Emergencia Internacional, la Ley de Administración de Exportaciones de los Estados Unidos, la Ley de Comercio con el Enemigo de los Estados Unidos y todas las regulaciones, resoluciones y licencias que se emitan en virtud de las mismas (colectivamente, las “Leyes de Exportación”). Usted garantiza que seguirá cumpliendo con todas las Leyes de Exportación con respecto al acceso y uso del Sitio de AIC y cualquier Oferta y reconoce que las Leyes de Exportación pueden cambiar con el tiempo. Además, Usted garantiza que no se lo ha inhabilitado, suspendido, no se le ha prohibido ni se le ha impedido exportar, reexportar, recibir, comprar, adquirir u obtener de otra manera cualquier producto, mercancía o dato técnico que se encuentre regulado por un organismo gubernamental de los Estados Unidos y también garantiza que actualmente no está inhabilitado, suspendido, no tiene prohibido ni está impedido de realizar tales actividades. Usted no reexportará a sabiendas, de manera directa o indirecta, ninguna Oferta ni ningún dato técnico que Ansys le haya proporcionado a ningún destino, persona o entidad en incumplimiento de las Leyes de Exportación o los presentes Términos.
18:Disposiciones Varias. Los presentes Términos no se aplican a ningún Programa que Ansys o cualquier Socio de Capacitación ponga a disposición y para el cual se necesite una licencia y un acuerdo de licencia de software por separado. Ninguna modificación de un Pedido o de los presentes Términos será vinculante, a menos que se acuerde por escrito entre el representante autorizado de Ansys. Los presentes Términos se regirán e interpretarán de conformidad con el derecho sustantivo interno de la Mancomunidad de Pensilvania, independientemente de los principios de derecho internacional privado. Usted reconoce que Ansys tendrá derecho a solicitar medidas cautelares además de cualquier otro recurso debido a un incumplimiento de los presentes Términos por su parte. Los presentes Términos constituyen un registro electrónico generado por un sistema informático y no requieren firmas físicas o digitales. Este es un acuerdo legal entre Usted y Ansys que rige Su acceso a las Ofertas disponibles en el Sitio de AIC.
19:Términos y Condiciones Adicionales para las Ofertas que adquiere un Cliente. Además de los presentes Términos, los siguientes términos y condiciones adicionales deberán aplicarse a cualquier Oferta que adquiera una persona jurídica de cualquier tipo (un “Cliente”). A los efectos de que un Cliente envíe un Pedido, el término definido “Pedido” también incluirá cualquier compra realizada por un Cliente sin el uso de un carrito de compras electrónico (es decir, un Pedido de Compra). El Cliente no deberá permitir el uso del Sitio de AIC o cualquier Oferta, a excepción de sus empleados o Usuarios Contractuales. A los efectos del presente documento, por “Usuarios Contractuales” deberá entenderse una persona física o entidad, que no sea un empleado regular del Cliente, contratada para prestar servicios de procesamiento de datos internos del Cliente y que acceda a una Oferta para respaldar dichas actividades. Además de los empleados y los Usuarios Contractuales, si el Cliente es una universidad o institución académica, el Cliente puede permitir que las personas que sean estudiantes en dicha institución académica o universidad accedan a las Ofertas y las utilicen. Dichos estudiantes serán considerados Usuarios Contractuales del Cliente. Confidencialidad. Toda persona que utilice el Sitio de AIC debe estar autorizada en virtud de los presentes Términos para acceder, descargar o usar el Sitio de AIC. Los empleados del Cliente, los Usuarios Contractuales y otras personas que tengan acceso a los Cursos de Capacitación en el Sitio de AIC deben ser informados de los derechos de propiedad intelectual de Ansys y de su Socio de Capacitación. El Cliente es responsable del uso de los Cursos de Capacitación y del Sitio de AIC por parte de los Usuarios Contractuales y de garantizar que los Usuarios Contractuales (i) usen cualquier Oferta y el Sitio de AIC solo para actividades de capacitación interna del Cliente y (ii) acepten y cumplan con los presentes Términos. Reembolsos. La Sección 9 (reembolsos) no se aplica a los Pedidos realizados por los Clientes. Todas las tarifas abonadas por cualquier Oferta no son reembolsables, a menos que la ley prohíba lo contrario. Ansys no reembolsa por las tarifas abonadas por una Oferta. Exportación. El Cliente garantiza que el Cliente y sus Usuarios Contractuales seguirán cumpliendo con todas las Leyes de Exportación con respecto al acceso y uso del Sitio de AIC y cualquier Oferta y reconoce que las Leyes de Exportación pueden cambiar con el tiempo. El Cliente (incluidos sus Usuarios Contractuales) garantiza además que no ha sido inhabilitado, suspendido, no se le ha prohibido ni se le ha impedido exportar, reexportar, recibir, comprar, adquirir u obtener de otra manera cualquier producto, mercancía o dato técnico que se encuentre regulado por un organismo gubernamental de los Estados Unidos y también garantiza que actualmente no está inhabilitado, suspendido, no tiene prohibido ni está impedido de realizar tales actividades. El Cliente es el único responsable de los Usuarios Contractuales del Cliente y ni el Cliente ni sus Usuarios Contractuales reexportarán a sabiendas, de manera directa o indirecta, ninguna oferta ni ningún dato técnico que Ansys les haya proporcionado a ningún destino, persona o entidad en incumplimiento de las Leyes de exportación o los presentes Términos. Privacidad de los Datos. En el marco de los servicios que se prestan a través del Sitio de AIC y las Ofertas allí disponibles, Ansys también puede poner a disposición del Cliente determinada Información de Uso de los Usuarios Designados. En caso de que el Cliente no sea un Usuario Designado o un Usuario Contractual que acceda a los Cursos de Capacitación y al Sitio de AIC, el Cliente declara y garantiza que notificará con suficiente antelación a todos los Usuarios Designados sobre el procesamiento de la Información Personal por parte de Ansys, tal como se describe en los presentes Términos. A los fines del presente, “Usuario Designado” significa un empleado o Usuario Contractual del Cliente, que ha sido autorizado por el Cliente para ser un usuario del Sitio de AIC y que es identificable como usuario único por su dirección de correo electrónico; e “Información de uso” se refiere a cualquier información relacionada con el acceso y el uso del Sitio de AIC por parte de un Usuario Designado, incluidos los registros de los cursos realizados y los registros de acceso. Disposiciones Varias. En la medida en que sea aplicable, se excluyen los términos y las condiciones establecidos en la orden de compra del Cliente u otro formulario estandarizado que el Cliente proporcione a Ansys. Los presentes Términos serán vinculantes y redundarán en beneficio de las partes y de sus respectivos sucesores, cesionarios y causahabientes autorizados. Ninguna modificación de un Pedido o de los presentes Términos será vinculante, a menos que se acuerde por escrito entre el representante autorizado de Ansys y el Cliente.
20:Términos Específicos del País. Si accede a cualquiera de las Ofertas que se proporcionan en el presente documento, además de los Términos y las Condiciones de Uso del Mercado ANSYS Innovation Certifications, también acepta los siguientes Términos Específicos del País. En caso de contradicciones entre las disposiciones establecidas en los Términos y las Condiciones de Uso del Mercado ANSYS Innovation Certifications y los Términos Específicos del País, deberán aplicarse los Términos Específicos del País.

La Certificación que proporciona Ansys no tiene reconocimiento de validez oficial en México.
Prestación de Servicios
Independientemente del punto de acceso o la dirección IP, se considera que los servicios se brindan y ofrecen en los Estados Unidos de América y, en consecuencia, están sujetos a las leyes de la Mancomunidad de Pensilvania.
Idioma Predominante
El presente Acuerdo puede estar disponible en inglés y en español. En caso de conflicto entre las dos versiones, prevalecerá la versión en inglés.
Anexo A
Acuerdo de Certificación
Los presentes términos y condiciones (en adelante, el “Acuerdo de Certificación”) se aplican a la Certificación de Ansys (el “Programa”) y son adicionales a los Términos.
Cuando hace clic en “Acepto” (o un botón similar) o se inscribe para un Examen o accede a un Examen, confirma la aceptación del presente Acuerdo de Certificación y todas las políticas del programa, si las hubiera, proporcionadas o puestas a Su disposición de otra manera, y acepta quedar vinculado por el presente Acuerdo de Certificación. Si no está de acuerdo, no tiene derecho a acceder a un Examen ni a realizar un Examen, participar en el Programa o recibir una Certificación de Ansys.
1:Definiciones
Certificación de Ansys. La certificación que recibe luego de aprobar correctamente un examen.
Contenido del Examen. Todos los componentes de cualquier Examen, lo que incluye, entre otros, preguntas, respuestas, procedimientos de prueba, imágenes, gráficos y diagramas.
Examen. Un examen que ofrece Ansys relacionado con Cursos de Capacitación específicos.
Insignia. Un certificado electrónico que muestra que Usted ha completado y aprobado una Certificación específica que Ansys emite para Usted y que Credly pone a disposición.
Usted. La persona que realiza un Examen, que será el único titular y destinatario de una Certificación.
1:Titularidad de la Propiedad Intelectual. Todo el Contenido del Examen es propiedad exclusiva y confidencial de Ansys, y Ansys conserva todos los derechos, títulos e intereses (incluidos los derechos de propiedad intelectual) sobre el Contenido del Examen. Ningún contenido de un Examen puede copiarse, fotografiarse, reproducirse, modificarse, publicarse, cargarse, transmitirse o distribuirse de ninguna manera. Las disposiciones de confidencialidad establecidas en los Términos se aplican a todo el Contenido del Examen. Las Certificaciones de Ansys se publican a nombre de personas físicas, no de entidades. 2:Conducta. Usted se compromete a no realizar ninguna acción que pueda comprometer la confidencialidad de cualquier Examen, proceso de Examen o respuestas de Examen. Las acciones prohibidas incluyen, entre otras, las siguientes: (i) distribuir Contenido del Examen real o supuesto, o descripciones sustanciales del Contenido del Examen, por cualquier medio verbal o escrito, incluidos, entre otros, publicaciones en Internet, preparación de exámenes formales o informales, grupos de discusión, copias impresas, salas de chat, foros o sitios de redes sociales; (ii) buscar u obtener acceso no autorizado al Contenido del Examen, incluso a través de Internet o en persona; (iii) proporcionar información o documentación incompleta o falsificada durante la inscripción; (iv) usar cualquier equipo, incluidos, entre otros, teléfonos celulares, computadoras portátiles, computadoras/dispositivos de mano, libros, notas, papel, materiales de escritura y cualquier dispositivo que pueda usarse para registrar datos o capturar imágenes, con el fin de registrar datos o capturar imágenes del Examen; (v) dar, recibir u obtener asistencia no autorizada de cualquier tipo durante el proceso de prueba del Examen; (vi) alterar o tergiversar Su condición de persona certificada por Ansys dentro del Programa ante cualquier persona física o entidad; (vii) permitir, contratar o solicitar a otros que realicen un examen en Su nombre; o (vii) cometer cualquier otro acto u omisión que desprestigie a Ansys o al Programa.
3:Insignias. Si aprueba correctamente un examen según lo comunicado por Ansys, se le otorgará una Insignia (puesta a disposición por Credly) para acceder a la Certificación de Ansys. Mediante el uso de la Insignia, Usted acepta que Ansys comparta con Credly Su nombre, dirección de correo electrónico, cualquier Certificación obtenida y cualquier información pertinente. La Insignia puede utilizarse con los siguientes métodos aprobados: (a) con Su firma de correo electrónico; (b) destacada en Su cuenta de redes sociales (LinkedIn, Facebook, Twitter, Google, etc.); (c) dentro de Su información de contacto en una presentación o documento digital (PowerPoint, PDF, etc.). No puede realizar ninguna de las siguientes acciones con su Insignia: (i) modificar el texto de la Insignia digital, (ii) modificar el código incrustado en la Insignia; o (iii) hacer que la Insignia se vincule a otra dirección web.
4:Exámenes. Calificación. Ansys se reserva el derecho de establecer y modificar la calificación de aprobación sin previo aviso, y de hacer que las calificaciones de aprobación difieran entre varios Exámenes y entre diferentes versiones del mismo Examen. Ansys también se reserva el derecho de que determinadas preguntas sean preguntas de prueba sin calificación. No se le informará qué preguntas no tienen calificación, si corresponde. Los resultados del examen reflejarán únicamente Su desempeño en las preguntas con calificación. Examen de Recuperación. El proceso y los procedimientos para volver a realizar el Examen están implementados para proteger la integridad del Contenido del Examen. Si no obtiene una calificación de aprobación la primera vez que realiza un Examen, puede realizar el Examen una (1) vez más (un “Examen de Recuperación”). Si no aprueba el Examen después de realizar el Examen de Recuperación, puede enviar un nuevo Pedido a Ansys para un Examen sujeto al presente Acuerdo y los Términos.
5:Incumplimiento del presente Acuerdo. Si Ansys, a su entera discreción, determina que Usted ha incumplido el presente Acuerdo, Ansys puede: (a) revocar todas y cada una de las Certificaciones de Ansys; (b) prohibirle temporal o permanente que se presente a futuros Exámenes; o (c) revocar las Certificaciones de Ansys obtenidas anteriormente. Si se revoca Su Certificación, debe abstenerse de inmediato de seguir usando cualquier Certificación de Ansys, Insignia o título, y debe eliminar inmediatamente dichos elementos de cualquier documento, material, sistema informático o red social. Usted acepta abonar a Ansys todos y cada uno de los costos y gastos destinados a solucionar los incumplimientos del presente Acuerdo cometidos por Usted, incluidos todos y cada uno de los gastos directos o indirectos, honorarios u otros costos en que incurra Ansys como resultado de demandas, acciones judiciales o litigios derivados del incumplimiento. La notificación del incumplimiento y las sanciones se enviarán a Su dirección de correo electrónico registrada en Ansys. Todas las decisiones son definitivas y no hay proceso de apelación.

ANSYS INNOVATION CERTIFICATIONS MARKETPLACE TERMS AND CONDITIONS OF USE – MEXICO
By clicking accept and submitting an Order, you (hereinafter “You” or “Your”, as applicable) accept these Ansys Innovation Certifications Marketplace Terms and Conditions of Use (the “Terms”). These terms are between You and ANSYS, Inc. with offices at 2600 ANSYS Drive, Canonsburg, PA 15317 and its affiliates (hereinafter “Ansys”).
1:Definitions
AIC Site. A website made available by Ansys for purposes of providing the Offering.
Badges. An electronic certificate that shows Your completion and passing of a specific Certification issued to You by Ansys and made available by Credly.
Certification. Certification(s) offered in connection with the Training Course(s) inclusive of any Badges. If You purchase a Certification, the Certification Agreement set forth in Exhibit A also applies.
Channel Partner. An unaffiliated business entity that is authorized by Ansys to resell access to the Offerings. Channel Partner(s) may provide Offerings and Cloud Access in certain regions.
Channel Partner Site. A website made available by a Channel Partner that allows You to purchase access to an Offering through a Channel Partner.
Cloud Access. Access to cloud services that You may purchase with an Offering. Cloud Access is purchased by You from Ansys or a Channel Partner, as applicable, and provided by a third party cloud provider. If you purchase Cloud Access from Ansys directly, the Cloud Terms set forth on https://www.ansys.com/legal/terms-and-conditions/microsoft-software-license-agreement and any additional terms as provided by Microsoft shall also apply to your use of Cloud Access. These Terms allow You to purchase Cloud Access in connection with an Offering from Ansys, however You expressly acknowledge and agree that any such Cloud Access purchased by You from a Channel Partner (if applicable), is subject to separate terms and conditions between You, the Channel Partner and the third-party cloud provider.
Data. Any content, materials, data and information that You provide to Ansys in connection with the AIC Site.
Fees. The fees payable by You to Ansys or a Channel Partner, as applicable, for access to an Offering or Cloud Access.
Order. Your selected Offerings to purchase via the electronic shopping cart made available to You by Ansys or a Channel Partner, when applicable.
Offering. The applicable Training Course(s), Certification(s), Cloud Access, and Badge(s), and other content made available for purchase on the AIC Site. With respect to any Offerings purchased through a Channel Partner, the applicable Offering(s) are purchased via the Channel Partner’s Site. The Offering may include a bundled solution (e.g. Training Course(s), Cloud Access, Certifications, and/or Badge(s) that are sold as one combined bundle) that are more particularly described on the AIC Site or Channel Partner Site, as applicable.
Personal Data. Any information relating to an identified or identifiable natural person that is processed in accordance with these Terms.
Programs. Software made available by either Ansys or a Training Partner, as applicable. Program(s) are made available to You under a separate agreement.
Training Course. Non-exclusive training courses provided by Ansys or a Training Partner which aim to provide additional tools/resources/materials to improve your use of Programs. Such classes are made available by Ansys to you on the AIC Site and illustrate how to use the Program(s).
Training Partner. A third-party providing Training Course(s) pertaining to either Ansys Programs or such party’s own Program(s).
2:Order Process. You can access an Offering or Cloud Access by submitting an Order and paying the applicable Fees to Ansys or a Channel Partner, as applicable. Provided that your Order is accepted, you will receive access to an Offering and Cloud Access, as applicable, within twenty-four hours of purchase. If your Order is not accepted for any reason, You will receive notice from Ansys or the Channel Partner, if you’ve purchased an Offering or Cloud Access through a Channel Partner. Your access to any Offering and Cloud Access, as applicable, after an Order is accepted is limited to the time identified on the AIC Site. After such time period has expired You will no longer have access to a specific Offering and Cloud Access, as applicable. You must have an appropriate user identification to gain access to the AIC Site. Once Your account is established and your Order is accepted, You will receive a confirmation email. The Offering and/or Cloud Access may not be available: (i) in certain regions; and (ii) to You if such availability would violate any applicable laws. In the event that an Offering or Cloud Access is not available to You, Your Order will not be accepted.
3:AIC Site Requirements. Access to the AIC Site, any Offering, and Cloud Access is only available via an internet connection.
4:Ansys Programs Support and Maintenance. You acknowledge that access to any Offering is not included as part of the fees paid for support and maintenance of any Ansys Program(s).
5:Confidentiality & Ownership. The AIC Site and any Offering provided therein (excluding any Badges which are provided by Credly and any Cloud Access which is purchased from Ansys or a Channel Partner, as applicable), inclusive of any commercial, technical information, and documentation which relate to the foregoing are solely owned by and hereby reserved by Ansys and its Training Partners, as applicable. You only receive a limited license to use the AIC Site and any Offering pursuant to these Terms. Under no circumstances may the whole or any part of the AIC Site, any Offering, or documentation (if applicable and available) of the foregoing be produced or copied in any form or by any means or translated into another language without the prior written consent of Ansys. The AIC Site and Offering (excluding any Badges and Cloud Access) are confidential information of Ansys and its Training Partners and You agree not to disclose this information to any third party or use such information except as expressly permitted herein. You are permitted to use any Offering (excluding any Badge(s)) and the AIC Site solely for your own internal training purposes. You acknowledge that it is a violation of these Terms to distribute AIC Site or Offering documentation (if applicable and available), and any Offering, Program(s), links, or passwords to anyone else. You shall not disassemble, decompile, reverse-engineer, copy, translate or make derivative works of the AIC Site or any Offering.
6:Changes. Ansys reserves the right to: (i) modify any Offering available on the AIC Site from time to time, and (ii) amend the content of any Offering without notice to You to correct errors. A Training Course provided by a Training Partner may be removed by Ansys at the request of the Training Partner. To the extent that an Offering is removed from the AIC Site, Ansys shall: (a) inform You by including a note in the applicable Offering description ten (10) days prior to removing the Offering; and (b) in the event that You have already paid for an Offering that is subsequently removed from the AIC Site prior to You accessing such Offering, please contact Ansys at the email address identified in Section 9 below for a refund of Your purchase price paid for such Offering. If you’ve purchased an Offering from a Channel Partner, contact the Channel Partner directly to request a refund of Your purchase price paid for such Offering.
7:Disclaimer of Warranty. The AIC Site and each Offering provided therein are provided by Ansys and its Training Partners, as applicable, to You on an “as is” and “as available” basis. The Offering is made available to You by Ansys for a fixed period of time, as further specified on the specific product page(s) for the Offering. Ansys does not warrant the accuracy or completeness of any Offering nor any links or the information, text, graphics, links, or other items contained within an Offering. Ansys and its Training Partners disclaim all warranties either express or implied, including without limitation, any implied warranties of merchantability or fitness or suitability for any purpose (whether or not Ansys or its Training Partners have reason to know, have been advised of, or are otherwise in fact aware of any such purpose) or non-infringement, whether alleged to arise by law, by reason of custom or usage in the trade, or by course of dealing.
8:Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ANSYS AND ITS TRAINING PARTNERS, AND THEIR RESPECTIVE AFFILIATES, OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, AGENTS, OR LICENSORS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, REVENUE, GOODWILL, USE OR CONTENT) HOWEVER CAUSED UNDER ANY THEORY OF LIABILITY, INCLUDING, WITHOUT LIMITATION, CONTRACT, TORT, WARRANTY, NEGLIGENCE OR OTHERWISE, EVEN IF ANSYS HAS BEEN ADVISED AS TO THE POSSIBLITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF ANSYS AND ITS TRAINING PARTNERS, AND THEIR RESPECTIVE AFFILIATES, OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, AGENTS, OR LICENSORS, RELATING TO THE OFFERING WILL BE LIMITED TO THE ACTUAL AMOUNTS PAID BY YOU WITH RESPECT TO THE PARTICULAR OFFERING THAT IS THE SUBJECT OF THE CLAIMED LIABILITY. THE LIMITATIONS AND EXCLUSION ALSO APPLY IF THIS REMEDY DOES NOT FULLY COMPENSATE YOU FOR ANY LOSSES OR FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF CERTAIN TYPES OF DAMAGES AND, IN SUCH EVENT, THIS LIMITATION WILL NOT APPLY TO YOU TO THE EXTENT PROHIBIT BY LAW. WITH RESPECT TO CLOUD ACCESS PROCURED THROUGH ANSYS, YOU ARE SOLELY RESPONSIBLE FOR YOUR USE OF ANY CLOUD ACCESS IN ACCORDANCE WITH ANY TERMS AS PROVIDED BY MICROSOFT.
9:Refunds. You may request a refund for an Offering if You are dissatisfied with Your purchase for any reason and contact Ansys at aic-refunds@ansys.com within fourteen (14) days of purchase (the “Refund Request Period”) to receive a refund in full. You may request a refund for Cloud Access provided that: (i) your request is made during the Refund Request Period; and (ii) you have not used any portion of the Cloud Access purchased, otherwise there are no refunds for Cloud Access. Refunds may take up to four (4) business days to process. If Your refund was approved but You have not received it after four (4) business days, first check Your credit card. Then contact Your credit card provider. There is often some processing time before a refund is posted. If You have completed all of these steps and You still have not received your refund, please contact us at aic-refunds@ansys.com. Your access to an Offering will be cancelled upon submitting a refund request. Ansys shall not be liable for any failure to provide a Training Course due to causes or conditions beyond Ansys’ reasonable control. In the event that you have purchased an Offering and/or Cloud Access from a Channel Partner, you can request a refund for an Offering in accordance with the Channel Partner’s refund policy.
10:Termination. Ansys hereby reserves the right to cancel Your access to and license to use any Offering available on the AIC Site in the event that You breach these Terms. Ansys shall provide You with notice in such event. You should immediately cease use of any Offering and delete any tangible or electronic embodiments of such information in your possession. Your login credentials to the AIC Site will be revoked in such instance.
11:Badges. After earning a particular Badge subject to the criteria set forth by Ansys and to the extent that a Badge is offered as part of a particular Offering that you Ordered, You will be invited to create an account on the Credly system, subject to acceptance of the Credly Terms of Service applicable at that time. Credly may communicate directly with You regarding the availability, management, and use of your Badges.
12:Non-assignability. Your access and use of the AIC Site and any Offering is nonassignable, nonexclusive, and non-transferable. You shall not assign these Terms or any Order to any third party by operation of law, or in bankruptcy, or otherwise without prior written consent of Ansys. You shall hold Ansys and its Training Partners harmless from and against all losses, damages, liabilities as a result of your non-compliance with this provision.
13:Your Data. You agree that any Data You provide to Ansys or a Training Partner via the AIC Site or otherwise related to either the AIC Site or a Training Course may be used for the following purposes: (i) performance of any required compliance activities with respect to Your purchase of any Offering or Cloud Access, (ii) processing payment and delivering the AIC Site and Training Courses You purchased, (iii) providing Certification exams and issues Badges and credentials, (iv) product improvement (in particular, features and functionality, workflows and user interfaces for the AIC Site and any Training Course(es) and development of new Ansys products and services), (v) improving Ansys resource allocation and support, (vi) internal demand planning, (vii) training and developing machine learning algorithms, (viii) identification of industry trends and developments, creation of indices and anonymous benchmarking.
14:Feature Requests and Product Improvements. You acknowledge and agree that any interaction with or feedback provided by You to Ansys, including any Data, either directly stated or implied, may be used by Ansys to improve Ansys products and services in the future. Ansys shall be the sole owner of any and all developments, modifications, enhancements, changes or new proprietary information or intellectual property that is developed in relation to any Ansys software or related services (“Improvements”), including, without limitation, comments or feedback (“Feedback”) that is provided by You to Ansys. Ansys shall have all rights associated any such Improvements and Feedback without recourse of reference to You.
15:Data Privacy. To the extent that any Data You provide to Ansys or a Training Partner via the AIC Site contains Personal Data, such Personal Data will be processed in accordance with the Ansys privacy notice (available at www.ansys.com/privacy). The AIC Sites are primarily operated and managed on servers located and operated within the United States. Accordingly, by submitting Your Personal Data to Ansys, you are sending your Personal Data outside of the country where you reside or are located, including to the United States. Ansys shall ensure that any transfers of such Personal Data comply with all applicable data protection laws, including, to the extent applicable, restrictions on cross-border data transfers under the General Data Protection Regulation (Regulation (EU) 2016/679). If Your access to the AIC Site and the Offerings was purchased by a corporate or educational entity, Your access and usage information is accessible to such entity. Please note that, in connection with the Offerings and Cloud Access, if You purchase any Offering and/or Cloud Access from a Channel Partner, any Personal Data submitted to such Channel Partner in connection with Your purchase shall be processed in accordance with the Channel Partner’s privacy policy.
16:CHANNEL PARTNERS. Ansys has contracted with Channel Partner(s) to resell certain Offerings. In connection with the Offerings and Cloud Access, if You purchase any Offering and/or Cloud Access from a Channel Partner, the Channel Partner is responsible for: (i) providing Cloud Access to You, and ii) accepting payment from You for any Offering and/or Cloud Access via the Channel Partner Site and for processing refunds for such purchases to You. IF YOU PURCHASE CLOUD ACCESS THROUGH A CHANNEL PARTNER, NO CLOUD ACCESS IS PROVIDED BY ANSYS TO YOU UNDER THIS AGREEMENT. YOUR PURCHASE OF ANY SUCH CLOUD ACCESS IS ENTIRELY BETWEEN YOU AND THE CHANNEL PARTNER.
17:Export. You acknowledge and agree that the AIC Site, Training Courses and associated material provided therein are subject to U.S. laws and other applicable laws governing the export and/or re-export of the Training Courses including, but not limited to, the Export Administration Regulations, regulations promulgating financial transaction restrictions administered by the Office of Foreign Asset Controls of the U.S. Department of the Treasury, the International Emergency Economic Powers Act, the United States Export Administration Act, the United States Trading with the Enemy Act, and all regulations, orders and licenses issued thereunder (collectively, the “Export Laws”). You warrant that You will remain in compliance with all Export Laws with respect to Your access of and use of the AIC Site and any Offering and acknowledge that Export Laws may change over time. You additionally warrant that You have not been, and are not currently, debarred, suspended, prohibited or impaired from exporting, re-exporting, receiving, purchasing, procuring, or otherwise obtaining any product, commodity, or technical data regulated by any agency of the government of the United States. You will not knowingly re-export, directly or indirectly, any Offering or any technical data provided by Ansys to You to any destination or person or entity in violation of the Export Laws or these Terms.
18:Miscellaneous. These Terms do not apply to any Program(s) made available by Ansys or any Training Partner for which a separate license and software license agreement is necessary. No variation to an Order or these Terms shall be binding unless agreed in writing between the authorized representative of Ansys. These Terms shall be governed by and construed under the internal substantive laws of the Commonwealth of Pennsylvania without regards to conflicts of laws principles. You acknowledge that Ansys shall be entitled to seek injunctive relief in addition to all other remedies for any breach of these Terms by You. These Terms constitute an electronic record generated by a computer system and do not require any physical or digital signatures. This is a legal agreement between You and Ansys which governs your access to the Offerings made available on the AIC Site.
19:Additional Terms and Conditions for Offerings Purchased by a Customer. In addition to these Terms, the following additional terms and conditions shall apply to any Offering that is purchased by a legal entity of any type (a “Customer”). For purposes of a Customer submitting an Order, the defined term “Order” will also include any purchase made by a Customer without use of an electronic shopping cart (i.e. a Purchase Order). Customer shall not permit use of the AIC Site or any Offering other than by its employees or Contract Users. For purposes hereof, “Contract Users” shall mean an individual or entity, not a regular employee of Customer, who is engaged to perform Customer’s internal data processing services and accesses an Offering in further support of such activities. In addition to its employees and Contract Users, if Customer is a university or academic institution, Customer may permit individuals who are students at such academic facility or university to access and use the Offering(s). Such students will be considered Contract Users of Customer. Confidentiality. Every person using the AIC Site must be licensed under these Terms for accessing, downloading, or using the AIC Site. Customer’s employees, Contract Users, and others who have access to the Training Courses on the AIC Site must be informed of Ansys’ and its Training Partner’s intellectual property rights. Customer is responsible for the use of the Training Courses and the AIC Site by Contract Users and for ensuring that the Contract Users (i) use any Offering and the AIC Site only for internal training activities of the Customer and (ii) agree to and comply with these Terms. Refunds. Section 9 (refunds) does not apply to Orders placed by the Customer(s). All fees paid for any Offerings are non-returnable, unless otherwise prohibited by law. Ansys does not provide refunds for any fees paid for an Offering. Export. Customer warrants that Customer and its Contract Users will remain in compliance with all Export Laws with respect to its access of and use of the AIC Site and any Offering and acknowledges that Export Laws may change over time. Customer (including its Contract Users) additionally warrants that Customer has not been, and is not currently, debarred, suspended, prohibited or impaired from exporting, re-exporting, receiving, purchasing, procuring, or otherwise obtaining any product, commodity, or technical data regulated by any agency of the government of the United States. Customer is solely responsible for Customer’s Contract Users and neither Customer nor its Contract Users will knowingly re-export, directly or indirectly, any offering or any technical data provided by Ansys to Customer to any destination or person or entity in violation of the Export Laws or these Terms. Data Privacy. As part of its provision of the AIC Site and the Offerings made available therein, Ansys may also make certain Usage Information of Named Users available to Customer. In the event that Customer is not a Named User or Contract User accessing the Training Course(s) and the AIC Site, Customer hereby represents and warrants that it shall provide sufficient notice to all Named Users of Ansys’s processing of the Personal Data as described in these Terms. For purposes hereof, “Named User” means an employee or Contract User of Customer, who has been authorized by Customer to be a user of the AIC Site and who is identifiable as a unique user by their e-mail address; and “Usage Information” means any information relating to a Named User’s access and usage of the AIC Site including records of courses taken and access logs. Miscellaneous. To the extent applicable, any terms and conditions set forth in Customer’s purchase order or other standardized form provided by Customer to Ansys are hereby excluded. These Terms will be binding upon and inure to the benefit of the parties hereto and their respective successors, permitted assigns and permitted transferees. No variation to an Order or these Terms shall be binding unless agreed in writing between the authorized representative of Ansys and Customer.
20:Country Specific Terms. If you are accessing to any Offering provided herein, in addition to this ANSYS Innovation Certifications Marketplace Terms and Conditions to Use, You also agree to the following Country Specific Terms. In the event of a conflict between the provisions set forth in the ANSYS Innovation Certifications Marketplace Terms and Conditions to Use and this Country Specific Terms, the Country Specific Terms shall apply.

Certification
The Certification provided by Ansys do not have recognition of official validity in Mexico.
Provision of services
Regardless of your access point or IP address, the services are considered to be provided and offered in the United States of America and, as a consequence, are subject to the laws of the Commonwealth of Pennsylvania.
Prevailing Language
This Agreement may be available in English and Spanish. In the event of a conflict between the two version, the English version will prevail.
Exhibit A
Certification Agreement
These terms and conditions (hereinafter the “Certification Agreement”) apply to the Ansys Certification (the “Program”) and are in addition to the Terms.
By clicking on “I agree” (or a similar button) or by registering for or accessing any Exam, You confirm acceptance of this Certification Agreement and all program policies, if any, provided or otherwise made available to You, and You agree to be bound by this Certification Agreement. If You do not agree, You do not have the right to access or take an Exam, participate in the Program or receive an Ansys Certification.
1:Definitions
Ansys Certification. The certification You receive upon successfully completing an Exam.
Badge. An electronic certificate that shows Your completion and passing of a specific Certification issued to You by Ansys and made available by Credly.
Exam. An exam offered by Ansys pertaining to specific Training Course(s).
Exam Content. All components of any Exams, including but not limited to questions, answers, testing procedures, images, graphs, and diagrams.
You. The individual taking an Exam, who will be the sole holder and recipient of a Certification.
1:Intellectual Property Ownership. All Exam Content is the exclusive and confidential property of Ansys and Ansys retains all rights, title and interest (including intellectual property rights) in and to the Exam Content. No content of an Exam may be copied, photographed, reproduced, modified, published, uploaded, transmitted, or distributed in any way. The confidentiality provisions as set forth in the Terms apply to all Exam Content. Ansys Certification(s) are posted in the names of individuals, not entities. No entity may claim association with a particular Ansys Certification.
2:Conduct. You agree not to take any action that could compromise the confidentiality of any Exam, Exam process, or Exam answers. Prohibited actions include, but are not limited to: (i) distributing actual or purported Exam Content or substantive descriptions of Exam Content, by any verbal or written means, including but not limited to internet web postings, formal or informal test preparation, discussion groups, paper copies, chat rooms, forums, or social networking sites; (ii) seeking and/or obtaining unauthorized access to Exam Content, including via the internet or in person; (iii) providing incomplete or falsified information or documentation during registration; (iv) use of any equipment, including but not limited to, cellular phones, laptop computer, hand-held computers/devices, books, notes, paper, writing materials, and any device that may be used to record data or capture images, for the purpose of recording data or capturing Exam images; (v) giving, receiving, or obtaining unauthorized assistance of any kind during the Exam test process; (vi) altering or misrepresenting Your status as an Ansys Certification individual within the Program to any individual or entity; (vii) allowing, hiring, or soliciting others to take an exam on Your behalf; or (vii) committing any other act or omission that would bring disrepute on Ansys or the Program.
3:Badges. If You successfully pass an Exam as communicated by Ansys to You, You will be issued a Badge (made available by Credly) to access Your Ansys Certification. By use of the Badge, You consent to Ansys’ sharing of Your name, email address, any earned Certification(s), and any pertinent information with Credly. The Badge can be used in the following approved methods: (a) with Your email signature; (b) featured on Your social media account (LinkedIn, Facebook, Twitter, Google, etc.); (c) within Your contact information in a digital presentation or document (PowerPoint, PDF, etc.). You may not do any of the following with Your Badge: (i) modify the text of the digital badge, (ii) modify the code embedded in the Badge; or (iii) cause the Badge to link to another web address;.
4:Exams. Scoring. Ansys reserves the right to establish and alter the passing score without notice, and to have passing scores differ between various Exams and between different versions of the same Exam. Ansys also reserves the right to have certain questions be unscored test questions. You will not be informed as to which questions are unscored, if applicable. Exam results will reflect Your performance on the scored questions only. Retake. Exam retake process and procedures are in place to protect the integrity of the Exam Content. If You do not achieve a passing score the first time You take an Exam, You may take the Exam one (1) additional time (a “Retake”). If You do not pass the Exam after the Retake, You can submit a new Order to Ansys for an Exam subject to this Agreement and the Terms.
5:Violations of this Agreement. If Ansys, in its sole discretion, determines that You have violated this Agreement, Ansys may: (a) revoke any and all Ansys Certification(s); (b) place a temporary or permanent ban on You from taking future Exams; and/or (c) revoke previously earned Ansys Certification(s). If Your Certification is revoked, You must immediately refrain from further use of any Ansys Certification, Badges, or titles, and must immediately remove any such items from any documents, materials, computer systems, or social media. You agree to pay Ansys any and all costs and expenses to resolve violations by You of this Agreement, including any and all direct or indirect expenses, fees, or other costs incurred by Ansys as a result of claims, actions or litigation resulting from the violation. Notice of a violation and sanctions will be sent to Your email address on file with Ansys. All decisions are final and there is no appeals process.
